The EU has introduced a significant new “Best Efforts” obligation for EU companies, individuals, and entities that own or control non-EU subsidiaries. Under this rule, EU Operators must take all suitable and necessary actions to prevent their non-EU entities from undermining the EU sanctions against Russia and Belarus. The European Commission’s recent guidance clarifies that “best efforts” go beyond standard compliance, requiring tailored due diligence, robust internal controls, and proactive compliance measures.
