End of the M&A world as we know it?
While the field of mergers and acquisitions (M&A) has undoubtedly been impacted by the rise of artificial intelligence (AI), it would be premature to suggest that the days of M&A intermediaries, including skilled negotiators, are over. AI has certainly brought about significant changes and advancements in deal sourcing, due diligence, and data analysis, allowing for more efficient and streamlined processes. However, there are several factors to consider:
- The Myth of Market Value: The first step in any M&A process is for the intermediary to determine the value of the asset. Standard valuation methodology is to arrive at a market value, namely what a willing but not anxious buyer and seller will transact at. This is not doing the best for your seller client in an M&A deal. You should be finding someone who will be paying "MORE" than market value. that comes down to your knowledge of the buyer market and how to prove value to your chosen buyer.
- Complex Negotiations: M&A deals often involve intricate negotiations that go beyond the realm of data analysis. Skilled negotiators possess expertise in assessing intangible factors, understanding human dynamics, and navigating complex agreements. These qualitative aspects require a nuanced approach that AI, as it stands today, may struggle to replicate.
- Relationship Building: Building and maintaining relationships are crucial in the M&A landscape. Skilled intermediaries bring industry knowledge, connections, and trust that AI cannot replace. They often have established networks and understand the human element necessary for successful deal-making.
- Subjectivity and Judgment: While AI can process and analyse vast amounts of data, it may struggle with subjective assessments and making judgment calls. Intermediaries provide contextual understanding, strategic insights, and subjective evaluations that enhance decision-making throughout the M&A process.
- Unforeseen Circumstances: M&A deals can face unexpected challenges and complexities. Skilled negotiators are adept at adapting to these circumstances, thinking creatively, and finding solutions that align with the parties' interests. AI, with its current limitations, may struggle to handle unpredictable situations effectively.
In summary, while AI has undoubtedly transformed various aspects of the M&A process, skilled intermediaries and negotiators continue to play a vital role. The human touch, expertise, relationship-building capabilities, and ability to handle complexity and uncertainty remain valuable assets in the M&A landscape. It is more likely that AI will augment and support intermediaries rather than render them obsolete.
