It started with a 2:00 a.m. call.

The board director of a mid-sized private bank was jolted awake. A chatbot had allegedly offered a high-risk loan product to a 22-year-old student using deep profiling. No human checks, no disclosure, and no documented consent. Worse, the screenshot had already gone viral.

By Monday morning, the damage wasn’t just reputational—it had sparked questions about accountability, data flow, model governance, and ethics.

That board is not alone. And that clock? It’s ticking for everyone.

 The Regulatory Wave You Can’t Sleep On

In just the last 60 days, India’s three most influential regulators have quietly—and powerfully—aligned on one message: govern your AI, or risk everything.

1.    SEBI released its Consultation Paper on AI/ML governance in securities markets (20 June 2025). It mandates that all regulated entities identify, monitor, and report the risks of AI and ML models—down to explainability, bias mitigation, and impact documentation.

2.    RBI’s June 2025 Financial Stability Report flagged growing “model risk” and introduced ethical standards for AI in credit underwriting, especially as non-bank lenders adopt ML algorithms at scale.

3.  Meanwhile, India’s Digital Personal Data Protection (DPDP) Act now demands:

a) Breach notifications within hours

b)  Clear user consent and regime alignment

c) Penalties up to ₹250 crore for violations

Each of these alone is serious. Together, they signal a paradigm shift in how leadership must approach AI risk.

 Your “Monday Morning AI Governance Audit”

Let’s cut to the chase. Before your first meeting today, ask your leadership team these five questions:

1. Do we have a board-level AI & ML inventory?

You can’t govern what you can’t see. Whether it’s your fraud detection tool, credit scoring model, or customer service chatbot—map every AI/ML system in use. And make sure the board sees that list.

2. Where’s your model-risk heat map?

Which models influence lending decisions? Which impact customer experience? Which touch-sensitive personal data? Prioritise risk by use-case, not just by technical complexity.

3. Have we stress-tested our DPDP readiness?

Map your data flows. Do they cross borders? Are your data processors contractually bound to new consent obligations? Align privacy practices with algorithmic design—because one breach could undo years of trust.

4. Can your team simulate a governance crisis drill?

Play out a hypothetical: A biased ML output leads to discrimination. What’s your escalation process? Who speaks to media? Crisis governance is not a someday activity. It’s Monday morning’s rehearsal.

5. Who in your organisation owns AI literacy and ethics?

It’s not the CTO’s job alone. Appoint a Chief AI Governance Officer or embed the role within your risk/compliance team. AI is now a second line-of-defense issue.

The 48-Hour Fintech Breach No One Saw Coming

Here’s what happens when governance is an afterthought:

A promising fintech startup, backed by marquee investors, was using an AI engine to pre-approve UPI-linked personal loans. But it had no central data map. One misconfigured API exposed the Aadhaar-masked data of over 90,000 users. Within 48 hours, screenshots flooded X (formerly Twitter), RBI issued a show-cause notice, and investors hit pause.

The startup wasn’t evil. It was just unprepared.

What Banks, Bureaucrats & CXOs Must Do Before Q4

Don’t wait for SEBI or RBI to knock.

  • Appoint an AI Risk Owner at the board or leadership level

  • Run a pilot AI risk register—just like you would for cyber or ops risk

  • Reframe compliance as collaboration—engage with SEBI’s sandbox, not just react to its papers

  • Train senior management on ethical AI, not just performance metrics

AI isn’t a tech issue anymore. It’s a governance issue.

 Let’s Be Honest—Why This Feels New (and Scary)

Boards are used to KPIs, balance sheets, and quarterly growth.

But AI is different. It learns. It evolves. It can’t always explain itself. That’s unsettling for traditional oversight structures. Yet governance doesn’t mean control. It means clarity. It means knowing when to trust a model—and when to say “not yet.”

I’ll leave you with this: Regulators won’t wait. Neither will algorithms. The only question is—who controls the clock?

By next Monday, another AI system will have approved a loan, denied coverage, flagged you for fraud, or nudged your child’s online behaviour, without oversight.
