Next month, the IRS will pivot to a new standard to establish the beginning of construction for wind and solar projects based on physical work, not financial commitments. Investing in QSBS through upper-tier funds: During August, Frost Brown Todd LLP’s tax planning group published the article “Exploring the Role of Partnerships in Qualified Small Business Stock (QSBS) Planning." https://lnkd.in/gZevMz9T This article addresses QSBS-related tax issues associated with structuring an upper-tier partnership holding QSBS (i.e., a fund or other tax partnership, which might be an LLC or LP that holds a majority or minority interest in an issuer of QSBS). We are seeing more funds holding QSBS investments. One potential benefit is the ability of the fund to issue profits interests that share in the right to claim Section 1202’s gain exclusion when the fund sells QSBS.     While investing in QSBS through funds is here to stay and gaining in popularity, there are challenges to adopting that investment structure when dealing with QSBS. The article addresses these challenges.
