CUSTOMER AGREEMENT
This Agreement, including the Terms and Conditions, is made and entered into by and between the customer (you) and ENMAX Energy Corporation.
You acknowledge and agree to participate in the Energy Plan for the Sites listed on the Sign-up Form. We will begin the supply of Energy to the Sites in 40 days
from the date you sign below. You acknowledge that the supply of Energy may commence sooner than the end of this 40-day period, and upon satisfaction of the
Conditions of Supply set out in Section 3.0.
You acknowledge that you have received a complete copy of this Agreement, and that you have read and understand this Agreement, including the Terms and
Conditions attached hereto. You acknowledge that you are duly authorized to sign this Agreement. No changes to these terms apply.
This Agreement has been signed effective as of and from the
DISCLOSURE STATEMENT
Please read this statement before you sign it. Before you enter into a marketing contract for electricity and/or natural gas, you should understand the
following:
1. This contract is not an electricity or natural gas utility or government rebate program. The person who presented you with this contract represents
ENMAX Energy Corporation (“ENMAX Energy”).
2. The business named in this contract may not be able to supply electricity or natural gas cheaper than your current utility company.
3. This contract can only be ended under the following conditions:
• If this Agreement is entered into over the Internet, the Customer may cancel this Agreement without cost or penalty within ten (10) days after a copy
of this Agreement, acknowledged by the Customer, is received by ENMAX Energy.
• If this Agreement is entered into in writing, the Customer may cancel this Agreement without cost or penalty within ten (10) days from the date
ENMAX Energy receives a signed copy of the Agreement from the Customer.
• If this Agreement is entered into over the telephone, the Customer may cancel this Agreement without penalty within sixty (60) days after the
Customer receives the first billing statement from ENMAX Energy.
• If a Marketing Contract for Energy presently exists for the same Sites, except where the existing contract is going to expire on or before the
commencement of this Agreement.
• If this Agreement does not set out a specified or ascertainable date on which the supply of Energy is to begin.
• If the supply of Energy does not begin within 30 days of the date referred to in the Terms and Conditions or an amended date agreed on in writing by
customer and ENMAX Energy.
• If ENMAX Energy was not licensed to market electricity or natural gas as applicable, at the time this Agreement was entered into.
• At the end of the Term of the Agreement.
• As specifically outlined in the attached Terms and Conditions.
4. If you move to another location within Alberta, you WILL still be responsible to buy electricity and/or natural gas under this contract, as applicable.
5. You may cancel this contract from (for Internet contracts) the day you acknowledge the contract until 10 days after the contract you acknowledged is
received by the marketer, and (for written contracts) from the day you sign the contract until 10 days after a copy of the contract that you signed is
received by the marketer. You do not need a reason to cancel the contract. To cancel the contract, you must give notice of cancellation at the address
in this contract. You may give notice of cancellation by any method that will allow you to prove that you gave notice, including mail, fax, e-mail or by
personal delivery. Under certain circumstances you may have more than 10 days to cancel the contract.

1.0 Cancellation
1.1 Your EasyMax Cancellation Right
You may cancel this Agreement at any time without penalty by
providing us with one month’s notice.
1.2 Your Provincial Law Cancellation Rights
a) Unless you entered into this Agreement over the telephone or the
Internet, you may cancel it without cost or penalty within 10 days after
we have received a signed copy of the Agreement from you.
b) If you entered into this Agreement over the telephone, you may
cancel this Agreement (i) without cost or penalty within 10 days after
you have received a copy of the Agreement from us, or (ii) without
penalty within 60 days after you have received your first billing
statement from us.
c) If you entered into this Agreement over the Internet, you may cancel
this Agreement within 10 days after you have acknowledged this
Agreement online.
d) You may cancel this Agreement without cost or penalty at any time if
there is another agreement already in place for energy services to your
Site that conflicts with this Agreement.
1.3 Notice of Cancellation
To cancel this Agreement, contact our Customer Care Centre at
310-2010 (toll-free in Alberta).
2.0 Price
2.1 Price
The Energy Charge you agree to pay for the Energy we supply to you is
set out in the Sign-up Form, and is based on the Energy Plan you have
chosen. You agree to pay for and we agree to sell you electricity or
natural gas based on the agreed Energy Charge, plus the Administration
Charge and Other Charges as applicable.
2.2 Fixed Price Energy Plans
Except as otherwise specified in this Agreement, if the Energy Plan you
have chosen includes a Fixed Electricity Rate or Fixed Gas Rate, we will
honour that fixed rate for the term specified in your Energy Plan, so that
your fixed rate will not change over that term. When the term for a
Fixed Electricity Rate or Fixed Gas Rate expires, this Agreement will
automatically continue in accordance with Section 7.12 below.
2.3 Additional Charges
In addition to the Energy Charge, you are responsible for Administration
Charges and Other Charges related to the supply of Energy to your Site.
You are also responsible for any charges associated with any other
ENMAX Energy products or services that you choose to participate in or
purchase. We will show all such charges as separate line items on your
bill.
3.0 Conditions
3.1 Eligibility
This offer is not open to customers purchasing electricity for Sites
located in certain Rural Electrification Associations, or who use more
than 75,000 kWh of electricity annually; or customers purchasing gas for
Sites located in a Rural Gas Co-op, or a municipally owned gas utility
which has enacted an exclusivity bylaw, or who use more than 2,500 GJ
of gas annually.
3.2 Start Date
We will begin the supply of Energy to the Sites no later than the Start
Date.
3.3 Pre-Conditions of Supply
Before we arrange for the supply of Energy to your Site, and before this
Agreement comes into effect:
a) you must meet our credit requirements; and
b) the Distribution Company must enroll your Site with us designated as
your retailer.
3.4 Ongoing Conditions of Supply
If you use more than 75,000 kWh of electricity or 2,500 GJ of gas at the
Sites in any 12-month period we may cancel this Agreement as set out in
Section 5.5(b).
3.5 Credit Requirements
You agree to provide us with and authorize us to request and receive
from third parties reasonable financial and credit information. You agree
to maintain creditworthiness satisfactory to ENMAX Energy at all times
while this Agreement is in effect. If you do not maintain creditworthiness
satisfactory to ENMAX Energy, we may cancel this Agreement in
accordance with Section 5.5(a).
3.6 Appointing Us as Your Agent
By entering into this Agreement, you appoint us as your limited agent to
arrange for the supply of Energy under this Agreement. This agency ends
when ENMAX Energy has fulfilled its obligations under this Agreement.
We will act as your agent only for purposes directly related to this
Agreement. You authorize the Distribution Company to give us your
consumption information and any related information that we may
require. You agree that we are not your financial advisor and therefore
have no liability for the choices you make with respect to your Energy
Plan.
4.0 Billing and Payment
4.1 Billing
We will bill you regularly, based on the most current contact information
you have provided to us, and you must pay our bill in any full, by the
date for payment indicated on the bill. Your bill includes charges and
adjustments for all Energy supplied to you under the Energy Plan you

have chosen, as well as other charges as set out in this Agreement.
Subject to applicable law, you are responsible for these charges, even if
you do not receive your bill on time or at all, for any reason, including
without limitation, as a result of an interruption in the postal service, or
we do not have your correct address.
4.2 Estimated and Actual Consumption
The portion of your bill related to consumption is based on your metered
Energy consumption or estimates of Energy consumption that we or the
Distribution Company make. Periodically, we will make adjustments
between estimated and actual consumption and adjust your bill.
4.3 Late Payments or Disputed Bills
If we do not receive your payment by the date indicated on your bill, we
will charge you a late payment fee as of the date set out on your bill. If
you dispute your bill you must pay your bill in full while the dispute is
being resolved. You are responsible for all legal and collection fees
associated with us trying to collect any amounts owing from you. If you
do not pay your bills on time, we may cancel this Agreement.
5.0 Changes to the Supply of Energy and Terminating the Agreement
5.1 Moving
You must give us at least 30 days’ notice before you move and your
notice must specify your new address. If you do not give us at least 30
days’ notice before you move, any interruption in the supply of Energy
and any costs either of us incurs as a consequence of the inadequate
notice will be your responsibility. If your new address is within a territory
we serve, we will amend this Agreement to apply to your new address. If
your new address is not within a territory we serve, this Agreement will
end on the date of your move, and you will remain responsible for any
outstanding obligations under the cancelled Agreement until satisfied in
full.
5.2 Transferring This Agreement
We may transfer this Agreement to another retailer by giving you notice.
You may not transfer this Agreement to any other person.
5.3 Changing your Energy Plan
You may change the Energy Plan you have chosen one time during each
billing cycle, based on the Energy Plan options then available to you
from ENMAX Energy for this Agreement. This switch becomes effective
on the date of the requested change and will be reflected on your next
bill. If the switch involves the removal of all, or part, of an Energy Plan
offering, the term, rate and accompanying terms and conditions
associated with all, or a part, of (as applicable) that Energy Plan offering
may expire upon removal, in ENMAX Energy’s sole discretion.
Any time a Site is added to your Energy Plan, the cooling-off periods set
out in Section 1.2 of this Agreement will come into effect for that new
product, so that you may cancel the new Site from your Energy Plan
during those cooling-off periods without cost or penalty
5.4 De-Enrollment and Outstanding Obligations
When this Agreement ends we will ask the Distribution Company to
de-enroll your Site. Outstanding obligations under this Agreement will
survive the cancellation, termination or expiry of this Agreement,
until the de enrollment is finished and any outstanding obligations
(including any obligation to pay) under this Agreement have been
satisfied in full.
5.5 Our Termination Rights
We may cancel all or a portion of this Agreement or your Energy Plan
without penalty:
a) immediately on notice to you if you do not fulfill any of your
obligations under this Agreement;
b) on one month’s notice to you if you use more than 75,000 kWh of
electricity or 2,500 GJ of gas at the Sites in the 12-month period
preceding notice of termination; or
c) on one month’s notice to you, unless the Energy Plan you have chosen
includes a Fixed Electricity Rate or Fixed Gas Rate. In that case we will
honour the fixed price portion of your Energy Plan (but not the floating
price portion) for the applicable term, subject always to our right of
termination under Sections 5.5(a) and (b).
Subject to Subsection (c) above, and for certainty, we may cancel that
portion of your Energy Plan that relates to electricity or natural gas, and
not the entire Agreement between us, at our option.
6.0 Unexpected Events
Certain events beyond our control may make it impossible for us to
fulfill our obligations under this Agreement. We are not legally
responsible to you in those events and will resume our obligations as
soon as we reasonably can.
7.0 Other Duties and Responsibilities
7.1 LIMITATION ON RESPONSIBILITY
AS YOUR ENERGY RETAILER, WE DO NOT CONTROL AND ARE NOT
RESPONSIBLE FOR THE PHYSICAL SYSTEMS THAT SUPPLY YOUR
ENERGY, THE CONTINUITY OF YOUR ENERGY SUPPLY OR THE
QUALITY OF YOUR ENERGY SUPPLY (INCLUDING PRESSURE, VOLTAGE
AND FREQUENCY). YOU ARE SUBJECT TO THE TERMS AND
CONDITIONS OF DISTRIBUTION SERVICE OF THE DISTRIBUTION
COMPANY OR ITS AGENT, AND FAILURE TO COMPLY WITH THOSE
TERMS AND CONDITIONS MAY RESULT IN YOU BEING
DISCONNECTED FROM THE DISTRIBUTION SYSTEM, OR SUBJECT TO
FEES OR OTHER CHARGES. WE ARE ONLY RESPONSIBLE FOR
DAMAGES CAUSED DIRECTLY BY OUR ACTIONS, AND THE ACTIONS
OF THOSE FOR WHOM WE ARE RESPONSIBLE AT LAW. WE ARE NOT
RESPONSIBLE FOR PUNITIVE, CONSEQUENTIAL OR SPECIAL
DAMAGES, LOSS OF USE OR LOST PROFITS. THIS PROVISION
SURVIVES TERMINATION OF THIS AGREEMENT.
7.2 Privacy
The information you provide to us will be used to establish and collect
money for your account, to arrange for the supply of Energy, for credit
assessment and reporting purposes, for law enforcement activities and
to communicate with you about other offerings and services from
ENMAX Energy or its Affiliates. In the event that your Energy needs
exceed the eligibility requirements in Section 3.1, you agree that we may
share your customer account information with ENMAX Energy
personnel or Affiliates specializing in your Energy needs.

We do not directly provide all the services related to your relationship
with us. We may use third party service providers to provide certain
related services, including without limitation account administrative
support, data storage, client communications and marketing. We may
also engage third party service providers located in other jurisdictions
outside Alberta or Canada to provide such related services (including
without limitation, the United States of America). As a result your
personal information may be accessible to regulatory authorities in
accordance with the laws of any such third party’s jurisdiction.
Regardless of where our service providers are located, we communicate
our own commitment to privacy as well as our expectations regarding
the confidentiality and treatment of your information to our service
providers.
By entering into this Agreement, you consent to us collecting, retaining,
using, and disclosing your information in the manner described in this
Section 7.2 and in accordance with the terms of ENMAX Energy’s privacy
policy and Privacy Commitment which can be viewed at www.enmax.
com. If you have questions or concerns about how your information is
protected, please contact our Customer Advocacy team at 310-2010
(toll-free in Alberta), or by email at privacy@enmax.com.
7.3 Notices
We will provide written notice (based on the most current contact
information and mail or email preference you have provided to us) to
you of any changes or actions we take under this Agreement. You agree
that such written notice may be made on your bill, or included with your
bill, or provided by e-mail at the most current contact information you
have provided to us. If you wish to make changes or otherwise take
action under this Agreement, please call our Customer Care Centre at
310-2010 (toll-free in Alberta).
7.4 Entire Agreement
This Agreement represents the entire agreement between us.
7.5 Waiver and Remedies
No failure or delay to exercise a right under this Agreement will cancel
that right. Seeking one remedy does not prevent either one of us from
seeking any other remedies we are entitled to seek.
7.6 Fixing Legal Problems with the Agreement
If any part of this Agreement cannot be enforced, we agree to fix that
part of this Agreement to make it enforceable without changing the
intention of this Agreement. If that part cannot be fixed without
changing the intention in this Agreement, it will be removed and the rest
of this Agreement will stay in effect
7.7 No Resale
You agree that the Energy supplied to you pursuant to this Agreement is
for your use only and may not be resold.
7.8 Additional Person Access
You may add another person to your account who you would like to be
authorized to make decisions regarding your account. You must notify
us of this change to your account by calling our Customer Care Centre at
310-2010 (toll-free in Alberta). You agree that ENMAX Energy may fully
rely on and that you will be bound by the decisions, information and
directions provided to ENMAX Energy by such other person.
7.9 Authority
You agree that you are the account holder in relation to the Site, or are
authorized by the account holder in relation to the Site, and that you
have the authority to enter into this Agreement. We are relying on that
authority for the purposes of this Agreement.
7.10 Account Transfer
We will transfer all utility services billed by ENMAX Corporation or any
of its direct or indirect subsidiaries that are connected with the Site to
your account, in order to eliminate multiple billing.
7.11 Amendments
a) You acknowledge that we may make changes to this Agreement at
any time in our sole discretion. We will provide two months notice to
you in writing of any change to this Agreement. You agree that such
written notice may be made on your bill, or included with your bill, or
provided by email at the most current contact information you have
provided to us. The written notice will provide you with a link to our
website, where the particulars of any such change will be detailed. At
your request, we will provide you with a copy in writing of the particulars
of any such change. If you object to any amendment, remember, you
may cancel this Agreement without penalty on one month’s notice in
accordance with Section 1.1 above. So if you provide notice at least one
month prior to the subject amendment taking effect, the amendments
will not apply to your Agreement. However, if this Agreement continues
after the subject amendments have taken effect, you will be deemed to
have accepted the Agreement as amended (regardless of whether or not
you have requested a copy in writing of the particulars of any such
change), subject always to your right to cancel this Agreement without
penalty on one month’s notice in accordance with Section 1.1 above.
b) We may change the Administration Charge that you pay, but we will
always let you know first. Though we may decrease your Administration
Charge by any amount and at any time in our discretion, we promise to
never increase your Administration Charge by more than twenty-five
(25) percent each time, and no more than two (2) times per year. If we
change your Administration Charge, we will provide you with notice of
such change in accordance with Section 7.11(a) above. As always, you
can cancel your Agreement with one month’s notice before the change
takes effect.
c) We may change the Transaction Fee that you pay as part of your
Floating Electricity Rate or Floating Gas Rate, as applicable, or as
otherwise specified in any other offer you obtain from us, but we will
always let you know first. Though we may decrease a Transaction Fee by
any amount and at any time in our discretion, we will not increase that
Transaction Fee by more than twenty-five (25) percent each time, and
no more than two (2) times per year. If we change a Transaction Fee, we
will provide you with notice of such change in accordance with Section
7.11(a) above. As always, you can cancel your Agreement with one
month’s notice before the change takes effect.
d) From time to time, ENMAX Energy may offer new or different ENMAX
Energy products or services under this Agreement. If you choose to
participate in or purchase a new or different ENMAX Energy product or
service, the terms and conditions of the new or different ENMAX Energy
product or service will attach to and form part of this Agreement. If this
Agreement conflicts with the terms and conditions of the new or

different ENMAX Energy product or service, the terms and conditions
of the new ENMAX Energy product or service will prevail.
e) If we believe that a change in law requires that we make a change
to this Agreement, we will notify you and the changes will apply one
month after the notice is sent.
7.12 Continuation
When the term for a Fixed Electricity Rate or Fixed Gas Rate expires,
this Agreement will automatically continue, on the longest term fixed
rate offering then available through us (for electricity or gas as
applicable) plus the Administration Charge and Other Charges as
applicable. The other provisions of this Agreement will still apply
during such continuation. This continuation does not affect your right
to cancel this Agreement without penalty by giving us one month’s
notice. At any time during such continuation you can sign up for any
fixed or floating rate offering or any other offering, on the then
available terms and conditions.
8.0 Definitions
Administration Charge – An amount we charge, once per billing cycle,
for the supply of Energy on a per Site basis. The current administration
charge is available on enmax.com or by calling 310-2010 (toll-free in
Alberta). We may change this charge from time to time in accordance
with Section 7.11(b) above.
Agreement – Our Agreement is comprised of the Sign-up Form,
EasyMax “The Basics” and these EasyMax Terms & Conditions. Our
Agreement may also include the terms and conditions of any new or
different ENMAX Energy product that you’ve agreed to participate in or
purchase and a telephone conversation recorded by ENMAX Energy or
an Internet contract acknowledged by you.
Distribution Company – The company that operates your natural gas or
electricity distribution system.
Energy - The natural gas or electricity that you are buying under this
Agreement, including services we provide as your retailer.
Energy Charge – The amount that you pay per unit of Energy that is
supplied to you described in the definitions of Fixed Electricity Rate,
Fixed Gas Rate, Floating Electricity Rate, Floating Gas Rate, or as
otherwise specified in any other offer from us, as applicable according
to your Energy Plan.
Energy Plan – The energy plan you have chosen for electricity or natural
gas, as you selected in the Sign-up Form, or as otherwise offered from
time to time by us, or as amended by you under Section 5.3 of these
EasyMax Terms & Conditions.
Fixed Electricity Rate – This Energy Charge is the fixed price per unit of
electricity you will pay if you’ve chosen a fixed electricity price for your
Energy Plan. The fixed rate will not change over the term you’ve
chosen.
Fixed Gas Rate – This Energy Charge is the fixed price per unit of natural
gas you will pay if you’ve chosen a fixed natural gas price for your
Energy Plan. The fixed rate will not change over the term you’ve
chosen.
Floating Electricity Rate – This Energy Charge is the floating price per
unit of electricity that you will pay if you’ve chosen a floating
electricity price for your Energy Plan, calculated as follows:

visiting enmax.com/electricityoptions or calling 310-2010 (toll-free in Alberta). We
may change this fee from time to time by providing 60 days advance notice to you in
writing of such change
Floating Gas Rate – This Energy Charge is the floating price per unit of natural gas
that you will pay if you’ve chosen a floating gas price for your Energy Plan, calculated
as follows:

change this fee from time to time in accordance with Section 7.11(c) above.
If there is any heating degree day with a value of zero, we will replace that value with
the value of 0.0001.

Other Charges – The amounts you will pay in addition to the Energy Charge that are
related to the supply of Energy. They are related to enrollment and exit fees,
franchise fees, local access fees, transportation charges, transmission charges,
delivery charges and Taxes.
Profile – Your hourly consumption profile as determined by your distribution
company.
Sign-up Form –The written sign-up form, the internet sign-up form, or the telephone
sign-up acknowledged by you or as recorded by ENMAX Energy, as applicable,
pursuant to which you initially selected your Energy Plan.
Site - Your home, business or other locations where we will supply Energy. There are
different Site identification numbers for electricity and natural gas.
Start Date –A date within 40 days of the date we receive an executed copy of the
Sign-up Form from you.
Taxes - All taxes and charges related to your supply of Energy.
Transaction Fee – The transaction fee payable per unit of Energy you consume as part
of your Floating Electricity Rate or Floating Gas Rate (if applicable), or as otherwise
specified in any other offer you obtain from us. You may obtain these fees at enmax.
com/electricityoptions or enmax.com/gasoptions or by calling 310-2010 (toll-free in
Alberta). These fees may be amended from time to time in accordance with Section
7.11(c) above.

  • 2. CUSTOMER AGREEMENT This Agreement, including the Terms and Conditions, is made and entered into by and between the customer (you) and ENMAX Energy Corporation. You acknowledge and agree to participate in the Energy Plan for the Sites listed on the Sign-up Form. We will begin the supply of Energy to the Sites in 40 days from the date you sign below. You acknowledge that the supply of Energy may commence sooner than the end of this 40-day period, and upon satisfaction of the Conditions of Supply set out in Section 3.0. You acknowledge that you have received a complete copy of this Agreement, and that you have read and understand this Agreement, including the Terms and Conditions attached hereto. You acknowledge that you are duly authorized to sign this Agreement. No changes to these terms apply. This Agreement has been signed effective as of and from the DISCLOSURE STATEMENT Please read this statement before you sign it. Before you enter into a marketing contract for electricity and/or natural gas, you should understand the following: 1. This contract is not an electricity or natural gas utility or government rebate program. The person who presented you with this contract represents ENMAX Energy Corporation (“ENMAX Energy”). 2. The business named in this contract may not be able to supply electricity or natural gas cheaper than your current utility company. 3. This contract can only be ended under the following conditions: • If this Agreement is entered into over the Internet, the Customer may cancel this Agreement without cost or penalty within ten (10) days after a copy of this Agreement, acknowledged by the Customer, is received by ENMAX Energy. • If this Agreement is entered into in writing, the Customer may cancel this Agreement without cost or penalty within ten (10) days from the date ENMAX Energy receives a signed copy of the Agreement from the Customer. • If this Agreement is entered into over the telephone, the Customer may cancel this Agreement without penalty within sixty (60) days after the Customer receives the first billing statement from ENMAX Energy. • If a Marketing Contract for Energy presently exists for the same Sites, except where the existing contract is going to expire on or before the commencement of this Agreement. • If this Agreement does not set out a specified or ascertainable date on which the supply of Energy is to begin. • If the supply of Energy does not begin within 30 days of the date referred to in the Terms and Conditions or an amended date agreed on in writing by customer and ENMAX Energy. • If ENMAX Energy was not licensed to market electricity or natural gas as applicable, at the time this Agreement was entered into. • At the end of the Term of the Agreement. • As specifically outlined in the attached Terms and Conditions. 4. If you move to another location within Alberta, you WILL still be responsible to buy electricity and/or natural gas under this contract, as applicable. 5. You may cancel this contract from (for Internet contracts) the day you acknowledge the contract until 10 days after the contract you acknowledged is received by the marketer, and (for written contracts) from the day you sign the contract until 10 days after a copy of the contract that you signed is received by the marketer. You do not need a reason to cancel the contract. To cancel the contract, you must give notice of cancellation at the address in this contract. You may give notice of cancellation by any method that will allow you to prove that you gave notice, including mail, fax, e-mail or by personal delivery. Under certain circumstances you may have more than 10 days to cancel the contract.   • 3. 1.0 Cancellation 1.1 Your EasyMax Cancellation Right You may cancel this Agreement at any time without penalty by providing us with one month’s notice. 1.2 Your Provincial Law Cancellation Rights a) Unless you entered into this Agreement over the telephone or the Internet, you may cancel it without cost or penalty within 10 days after we have received a signed copy of the Agreement from you. b) If you entered into this Agreement over the telephone, you may cancel this Agreement (i) without cost or penalty within 10 days after you have received a copy of the Agreement from us, or (ii) without penalty within 60 days after you have received your first billing statement from us. c) If you entered into this Agreement over the Internet, you may cancel this Agreement within 10 days after you have acknowledged this Agreement online. d) You may cancel this Agreement without cost or penalty at any time if there is another agreement already in place for energy services to your Site that conflicts with this Agreement. 1.3 Notice of Cancellation To cancel this Agreement, contact our Customer Care Centre at 310-2010 (toll-free in Alberta). 2.0 Price 2.1 Price The Energy Charge you agree to pay for the Energy we supply to you is set out in the Sign-up Form, and is based on the Energy Plan you have chosen. You agree to pay for and we agree to sell you electricity or natural gas based on the agreed Energy Charge, plus the Administration Charge and Other Charges as applicable. 2.2 Fixed Price Energy Plans Except as otherwise specified in this Agreement, if the Energy Plan you have chosen includes a Fixed Electricity Rate or Fixed Gas Rate, we will honour that fixed rate for the term specified in your Energy Plan, so that your fixed rate will not change over that term. When the term for a Fixed Electricity Rate or Fixed Gas Rate expires, this Agreement will automatically continue in accordance with Section 7.12 below. 2.3 Additional Charges In addition to the Energy Charge, you are responsible for Administration Charges and Other Charges related to the supply of Energy to your Site. You are also responsible for any charges associated with any other ENMAX Energy products or services that you choose to participate in or purchase. We will show all such charges as separate line items on your bill. 3.0 Conditions 3.1 Eligibility This offer is not open to customers purchasing electricity for Sites located in certain Rural Electrification Associations, or who use more than 75,000 kWh of electricity annually; or customers purchasing gas for Sites located in a Rural Gas Co-op, or a municipally owned gas utility which has enacted an exclusivity bylaw, or who use more than 2,500 GJ of gas annually. 3.2 Start Date We will begin the supply of Energy to the Sites no later than the Start Date. 3.3 Pre-Conditions of Supply Before we arrange for the supply of Energy to your Site, and before this Agreement comes into effect: a) you must meet our credit requirements; and b) the Distribution Company must enroll your Site with us designated as your retailer. 3.4 Ongoing Conditions of Supply If you use more than 75,000 kWh of electricity or 2,500 GJ of gas at the Sites in any 12-month period we may cancel this Agreement as set out in Section 5.5(b). 3.5 Credit Requirements You agree to provide us with and authorize us to request and receive from third parties reasonable financial and credit information. You agree to maintain creditworthiness satisfactory to ENMAX Energy at all times while this Agreement is in effect. If you do not maintain creditworthiness satisfactory to ENMAX Energy, we may cancel this Agreement in accordance with Section 5.5(a). 3.6 Appointing Us as Your Agent By entering into this Agreement, you appoint us as your limited agent to arrange for the supply of Energy under this Agreement. This agency ends when ENMAX Energy has fulfilled its obligations under this Agreement. We will act as your agent only for purposes directly related to this Agreement. You authorize the Distribution Company to give us your consumption information and any related information that we may require. You agree that we are not your financial advisor and therefore have no liability for the choices you make with respect to your Energy Plan. 4.0 Billing and Payment 4.1 Billing We will bill you regularly, based on the most current contact information you have provided to us, and you must pay our bill in any full, by the date for payment indicated on the bill. Your bill includes charges and adjustments for all Energy supplied to you under the Energy Plan you Wherever we refer to “ENMAX Energy”, “we”, “our” and “us”, it means ENMAX Energy Corporation, except where context requires otherwise. Capitalized terms are defined at the end of these EasyMax Terms & Conditions. These EasyMax Terms & Conditions include the terms and conditions associated with any other ENMAX Energy product or service that you’ve agreed to participate in or purchase.   • 4. have chosen, as well as other charges as set out in this Agreement. Subject to applicable law, you are responsible for these charges, even if you do not receive your bill on time or at all, for any reason, including without limitation, as a result of an interruption in the postal service, or we do not have your correct address. 4.2 Estimated and Actual Consumption The portion of your bill related to consumption is based on your metered Energy consumption or estimates of Energy consumption that we or the Distribution Company make. Periodically, we will make adjustments between estimated and actual consumption and adjust your bill. 4.3 Late Payments or Disputed Bills If we do not receive your payment by the date indicated on your bill, we will charge you a late payment fee as of the date set out on your bill. If you dispute your bill you must pay your bill in full while the dispute is being resolved. You are responsible for all legal and collection fees associated with us trying to collect any amounts owing from you. If you do not pay your bills on time, we may cancel this Agreement. 5.0 Changes to the Supply of Energy and Terminating the Agreement 5.1 Moving You must give us at least 30 days’ notice before you move and your notice must specify your new address. If you do not give us at least 30 days’ notice before you move, any interruption in the supply of Energy and any costs either of us incurs as a consequence of the inadequate notice will be your responsibility. If your new address is within a territory we serve, we will amend this Agreement to apply to your new address. If your new address is not within a territory we serve, this Agreement will end on the date of your move, and you will remain responsible for any outstanding obligations under the cancelled Agreement until satisfied in full. 5.2 Transferring This Agreement We may transfer this Agreement to another retailer by giving you notice. You may not transfer this Agreement to any other person. 5.3 Changing your Energy Plan You may change the Energy Plan you have chosen one time during each billing cycle, based on the Energy Plan options then available to you from ENMAX Energy for this Agreement. This switch becomes effective on the date of the requested change and will be reflected on your next bill. If the switch involves the removal of all, or part, of an Energy Plan offering, the term, rate and accompanying terms and conditions associated with all, or a part, of (as applicable) that Energy Plan offering may expire upon removal, in ENMAX Energy’s sole discretion. Any time a Site is added to your Energy Plan, the cooling-off periods set out in Section 1.2 of this Agreement will come into effect for that new product, so that you may cancel the new Site from your Energy Plan during those cooling-off periods without cost or penalty 5.4 De-Enrollment and Outstanding Obligations When this Agreement ends we will ask the Distribution Company to de-enroll your Site. Outstanding obligations under this Agreement will survive the cancellation, termination or expiry of this Agreement, until the de enrollment is finished and any outstanding obligations (including any obligation to pay) under this Agreement have been satisfied in full. 5.5 Our Termination Rights We may cancel all or a portion of this Agreement or your Energy Plan without penalty: a) immediately on notice to you if you do not fulfill any of your obligations under this Agreement; b) on one month’s notice to you if you use more than 75,000 kWh of electricity or 2,500 GJ of gas at the Sites in the 12-month period preceding notice of termination; or c) on one month’s notice to you, unless the Energy Plan you have chosen includes a Fixed Electricity Rate or Fixed Gas Rate. In that case we will honour the fixed price portion of your Energy Plan (but not the floating price portion) for the applicable term, subject always to our right of termination under Sections 5.5(a) and (b). Subject to Subsection (c) above, and for certainty, we may cancel that portion of your Energy Plan that relates to electricity or natural gas, and not the entire Agreement between us, at our option. 6.0 Unexpected Events Certain events beyond our control may make it impossible for us to fulfill our obligations under this Agreement. We are not legally responsible to you in those events and will resume our obligations as soon as we reasonably can. 7.0 Other Duties and Responsibilities 7.1 LIMITATION ON RESPONSIBILITY AS YOUR ENERGY RETAILER, WE DO NOT CONTROL AND ARE NOT RESPONSIBLE FOR THE PHYSICAL SYSTEMS THAT SUPPLY YOUR ENERGY, THE CONTINUITY OF YOUR ENERGY SUPPLY OR THE QUALITY OF YOUR ENERGY SUPPLY (INCLUDING PRESSURE, VOLTAGE AND FREQUENCY). YOU ARE SUBJECT TO THE TERMS AND CONDITIONS OF DISTRIBUTION SERVICE OF THE DISTRIBUTION COMPANY OR ITS AGENT, AND FAILURE TO COMPLY WITH THOSE TERMS AND CONDITIONS MAY RESULT IN YOU BEING DISCONNECTED FROM THE DISTRIBUTION SYSTEM, OR SUBJECT TO FEES OR OTHER CHARGES. WE ARE ONLY RESPONSIBLE FOR DAMAGES CAUSED DIRECTLY BY OUR ACTIONS, AND THE ACTIONS OF THOSE FOR WHOM WE ARE RESPONSIBLE AT LAW. WE ARE NOT RESPONSIBLE FOR PUNITIVE, CONSEQUENTIAL OR SPECIAL DAMAGES, LOSS OF USE OR LOST PROFITS. THIS PROVISION SURVIVES TERMINATION OF THIS AGREEMENT. 7.2 Privacy The information you provide to us will be used to establish and collect money for your account, to arrange for the supply of Energy, for credit assessment and reporting purposes, for law enforcement activities and to communicate with you about other offerings and services from ENMAX Energy or its Affiliates. In the event that your Energy needs exceed the eligibility requirements in Section 3.1, you agree that we may share your customer account information with ENMAX Energy personnel or Affiliates specializing in your Energy needs.   • 5. We do not directly provide all the services related to your relationship with us. We may use third party service providers to provide certain related services, including without limitation account administrative support, data storage, client communications and marketing. We may also engage third party service providers located in other jurisdictions outside Alberta or Canada to provide such related services (including without limitation, the United States of America). As a result your personal information may be accessible to regulatory authorities in accordance with the laws of any such third party’s jurisdiction. Regardless of where our service providers are located, we communicate our own commitment to privacy as well as our expectations regarding the confidentiality and treatment of your information to our service providers. By entering into this Agreement, you consent to us collecting, retaining, using, and disclosing your information in the manner described in this Section 7.2 and in accordance with the terms of ENMAX Energy’s privacy policy and Privacy Commitment which can be viewed at www.enmax. com. If you have questions or concerns about how your information is protected, please contact our Customer Advocacy team at 310-2010 (toll-free in Alberta), or by email at privacy@enmax.com. 7.3 Notices We will provide written notice (based on the most current contact information and mail or email preference you have provided to us) to you of any changes or actions we take under this Agreement. You agree that such written notice may be made on your bill, or included with your bill, or provided by e-mail at the most current contact information you have provided to us. If you wish to make changes or otherwise take action under this Agreement, please call our Customer Care Centre at 310-2010 (toll-free in Alberta). 7.4 Entire Agreement This Agreement represents the entire agreement between us. 7.5 Waiver and Remedies No failure or delay to exercise a right under this Agreement will cancel that right. Seeking one remedy does not prevent either one of us from seeking any other remedies we are entitled to seek. 7.6 Fixing Legal Problems with the Agreement If any part of this Agreement cannot be enforced, we agree to fix that part of this Agreement to make it enforceable without changing the intention of this Agreement. If that part cannot be fixed without changing the intention in this Agreement, it will be removed and the rest of this Agreement will stay in effect 7.7 No Resale You agree that the Energy supplied to you pursuant to this Agreement is for your use only and may not be resold. 7.8 Additional Person Access You may add another person to your account who you would like to be authorized to make decisions regarding your account. You must notify us of this change to your account by calling our Customer Care Centre at 310-2010 (toll-free in Alberta). You agree that ENMAX Energy may fully rely on and that you will be bound by the decisions, information and directions provided to ENMAX Energy by such other person. 7.9 Authority You agree that you are the account holder in relation to the Site, or are authorized by the account holder in relation to the Site, and that you have the authority to enter into this Agreement. We are relying on that authority for the purposes of this Agreement. 7.10 Account Transfer We will transfer all utility services billed by ENMAX Corporation or any of its direct or indirect subsidiaries that are connected with the Site to your account, in order to eliminate multiple billing. 7.11 Amendments a) You acknowledge that we may make changes to this Agreement at any time in our sole discretion. We will provide two months notice to you in writing of any change to this Agreement. You agree that such written notice may be made on your bill, or included with your bill, or provided by email at the most current contact information you have provided to us. The written notice will provide you with a link to our website, where the particulars of any such change will be detailed. At your request, we will provide you with a copy in writing of the particulars of any such change. If you object to any amendment, remember, you may cancel this Agreement without penalty on one month’s notice in accordance with Section 1.1 above. So if you provide notice at least one month prior to the subject amendment taking effect, the amendments will not apply to your Agreement. However, if this Agreement continues after the subject amendments have taken effect, you will be deemed to have accepted the Agreement as amended (regardless of whether or not you have requested a copy in writing of the particulars of any such change), subject always to your right to cancel this Agreement without penalty on one month’s notice in accordance with Section 1.1 above. b) We may change the Administration Charge that you pay, but we will always let you know first. Though we may decrease your Administration Charge by any amount and at any time in our discretion, we promise to never increase your Administration Charge by more than twenty-five (25) percent each time, and no more than two (2) times per year. If we change your Administration Charge, we will provide you with notice of such change in accordance with Section 7.11(a) above. As always, you can cancel your Agreement with one month’s notice before the change takes effect. c) We may change the Transaction Fee that you pay as part of your Floating Electricity Rate or Floating Gas Rate, as applicable, or as otherwise specified in any other offer you obtain from us, but we will always let you know first. Though we may decrease a Transaction Fee by any amount and at any time in our discretion, we will not increase that Transaction Fee by more than twenty-five (25) percent each time, and no more than two (2) times per year. If we change a Transaction Fee, we will provide you with notice of such change in accordance with Section 7.11(a) above. As always, you can cancel your Agreement with one month’s notice before the change takes effect. d) From time to time, ENMAX Energy may offer new or different ENMAX Energy products or services under this Agreement. If you choose to participate in or purchase a new or different ENMAX Energy product or service, the terms and conditions of the new or different ENMAX Energy product or service will attach to and form part of this Agreement.   • 6. different ENMAX Energy product or service, the terms and conditions of the new ENMAX Energy product or service will prevail. e) If we believe that a change in law requires that we make a change to this Agreement, we will notify you and the changes will apply one month after the notice is sent. 7.12 Continuation When the term for a Fixed Electricity Rate or Fixed Gas Rate expires, this Agreement will automatically continue, on the longest term fixed rate offering then available through us (for electricity or gas as applicable) plus the Administration Charge and Other Charges as applicable. The other provisions of this Agreement will still apply during such continuation. This continuation does not affect your right to cancel this Agreement without penalty by giving us one month’s notice. At any time during such continuation you can sign up for any fixed or floating rate offering or any other offering, on the then available terms and conditions. 8.0 Definitions Administration Charge – An amount we charge, once per billing cycle, for the supply of Energy on a per Site basis. The current administration charge is available on enmax.com or by calling 310-2010 (toll-free in Alberta). We may change this charge from time to time in accordance with Section 7.11(b) above. Agreement – Our Agreement is comprised of the Sign-up Form, EasyMax “The Basics” and these EasyMax Terms & Conditions. Our Agreement may also include the terms and conditions of any new or different ENMAX Energy product that you’ve agreed to participate in or purchase and a telephone conversation recorded by ENMAX Energy or an Internet contract acknowledged by you. Distribution Company – The company that operates your natural gas or electricity distribution system. Energy - The natural gas or electricity that you are buying under this Agreement, including services we provide as your retailer. Energy Charge – The amount that you pay per unit of Energy that is supplied to you described in the definitions of Fixed Electricity Rate, Fixed Gas Rate, Floating Electricity Rate, Floating Gas Rate, or as otherwise specified in any other offer from us, as applicable according to your Energy Plan. Energy Plan – The energy plan you have chosen for electricity or natural gas, as you selected in the Sign-up Form, or as otherwise offered from time to time by us, or as amended by you under Section 5.3 of these EasyMax Terms & Conditions. Fixed Electricity Rate – This Energy Charge is the fixed price per unit of electricity you will pay if you’ve chosen a fixed electricity price for your Energy Plan. The fixed rate will not change over the term you’ve chosen. Fixed Gas Rate – This Energy Charge is the fixed price per unit of natural gas you will pay if you’ve chosen a fixed natural gas price for your Energy Plan. The fixed rate will not change over the term you’ve chosen. Floating Electricity Rate – This Energy Charge is the floating price per unit of electricity that you will pay if you’ve chosen a floating electricity price for your Energy Plan, calculated as follows: Floating Electricity Rate = Where: n = the number of hours in the billing period = your electricity consumption in kWh allocated hourly in accordance with your profile = All charges for unaccounted for energy in ¢/kWh (for hour h) = All charges for electric distribution losses in ¢/kWh (for hour h) = the actual hourly power pool price for electricity as published in final form by the Alberta Electric System Operator converted to ¢/kWh (for hour h) = Applicable energy market Trading Charges as published by the AESO (for hour h) TF = The transaction fee payable per kWh for electricity. We may change this fee from time to time by providing 60 days advance notice to you in writing of such change Floating Gas Rate – This Energy Charge is the floating price per unit of natural gas that you will pay if you’ve chosen a floating gas price for your Energy Plan, calculated as follows: Floating Gas Rate = Where, HDD = Heating Degree Days, for each day in the billing cycle AECO-C DI = Daily Average Index Price of AECO-C, per GJ, for each day in the billing cycle TF = The transaction fee payable per GJ for natural gas. You may obtain this fee by visiting enmax.com/gasoptions or calling 310-2010 (toll-free in Alberta). We may change this fee from time to time in accordance with Section 7.11(c) above. If there is any heating degree day with a value of zero, we will replace that value with the value of 0.0001. Other Charges – The amounts you will pay in addition to the Energy Charge that are related to the supply of Energy. They are related to enrollment and exit fees, franchise fees, local access fees, transportation charges, transmission charges, delivery charges and Taxes. Profile – Your hourly consumption profile as determined by your distribution company. Sign-up Form –The written sign-up form, the internet sign-up form, or the telephone sign-up acknowledged by you or as recorded by ENMAX Energy, as applicable, pursuant to which you initially selected your Energy Plan. Site - Your home, business or other locations where we will supply Energy. There are different Site identification numbers for electricity and natural gas. Start Date –A date within 40 days of the date we receive an executed copy of the Sign-up Form from you. Taxes - All taxes and charges related to your supply of Energy. Transaction Fee – The transaction fee payable per unit of Energy you consume as part of your Floating Electricity Rate or Floating Gas Rate (if applicable), or as otherwise specified in any other offer you obtain from us.
