and membershippointsare benefits extendedto Exhibitors/Members by
BROADCASTITKW.COM/EVENTS.These seniority points do not constitute property
and are not assets owned by Exhibitors/Members.They may notbe transferred to

Procedures
Definition:An Exhibitoris an entity that purchasesspacein any
BROADCASTITKW.COM/EVENTS boatshow or trade eventand has its own seniority
“track” in show records. The Exhibitormay be a corporation, corporatesubsidiary,
person, partnership, organization,or other legal business.A MemberExhibitoris such
an entity, which currently holds rightsof membershipin the
BROADCASTITKW.COM/EVENTS,eitherunderits own name or as part of a larger
entity.
1. ConsumerShows
All Exhibitors willbe ranked in a Single-Tiered seniority listaccording to years of
participation in a specific show.An exhibitorreceivesone pointfor each yearit has
exhibited in the particularshow in question.
The order of priority for the allocationof available space in Single-Tiered showsis:
KuwaitInternationalboatshow
a. Firstpriority goes to Exhibitorsthat have exhibitedin the prior year.
b. Second priority goesto Members that have or have not previouslyexhibitedand
have submitted an applicationincludingpaymentat least90 days prior to the
show’s opening.
c. Third priority goes to Non-MemberExhibitors thathave previouslyexhibited and
have submitted an applicationincludingpaymentat least90 days prior to the
show’s opening.
d. Fourth Priority goes to Non-Membersthat have not previously exhibited.
NOTE:“Prior” in the above refers to the immediatepreceding year;an Exhibitorwho
drops out keeps theirpoints, but is not considereda “prior year”exhibitorwhen
returning.
NOTE:In the allocationphases ofb) & c), space is allocatedbased onpreviousshow
history and the date the application and paymentare received.
NOTE:In allocationphased), space is allocated based on the date the applicationand
paymentare received.
2. KuwaitinternationalBoatShow (KIBS) & BROADCASTITKW.COM/EVENTS
All companieswill be allocatedspace through a Double-Tieredseniority list, which is a
combination of show pointsand Memberpoints. An Exhibitoris awarded one pointfor
each yearit has exhibited in the particularshow/tradeeventin question. Each Exhibitor
receives one pointfor each consecutiveyearit has been a memberof BROADCAST
The Double-Tiered allocation system is appliedto the followingshows/tradeevents:
KuwaitInternationalBoatShow (K.I.B.S)
Outdoorshow
ETC.
The order of priority for the allocationof available space in DoubleTieredshowsis:
a. Firstpriority goes to MemberExhibitors thathave exhibited in the prioryear.
b. Second priority goesto Members that have or have not previouslyexhibited
and have submittedan application including paymentat least90 days priorto
the show’s opening.
c. Third priority goes to Non-MemberExhibitors thathave exhibited in the prior
year.
d. Fourth priority goes to Non-Membersthat have or have not previously

days priorto the show’s opening.
NOTE:“Prior” in the above refers to the immediatepreceding year;an Exhibitor who

NOTE:In the allocationphaseb), space is allocated based on Memberand show
seniority combined. In allocation phase c), space is allocated based on totalshow point
accumulation. In allocationphased), space is allocated based on total show point
accumulationand the date the application and paymentis received.
NOTE:Space will notbe allocated withoutthe receiptof a signed applicationand
payment.
3. AdditionalGuidelines
a. Exhibitors History(its senioritypoints),is the mainstayof the
BROADCASTITKW.COM/EVENTS allocation system.Each Exhibitorwillbe
awarded one show pointfor each yearin whichan Exhibitorexhibitedat the
show.An Exhibitor’s Show History record will be carefullymaintained by
BROADCASTITKW.COM/EVENTS,and no trading of space, sharing of seniority
points between commonly-ownedentities,or otherdeviations willbe permitted if
the result,in the opinionof the BROADCASTITKW.COM/EVENTS is “leap
frogging”by one Exhibitoroveranotherwith more points.
In the eventthat the Exhibitorshall cease conductingbusinessin the normal
course,become insolvent,make a generalassignmentfor the benefitof
creditors, sufferor permitthe appointmentof a receiverfor its business orassets
or shallavailitselfof, or become subjectto, any proceedingunderthe Federal
Bankruptcy Actor any other statute of any state relating to insolvencyor
protectionof rights of creditors(‘Bankruptcyor FinancialReorganization”), then
all show senioritypointsrelated to that Exhibitoror any Affiliates includedin such
actionsare forfeited and may notbe resurrected at a later date. Should
Exhibitor, its Affiliates orits successoremergefrom Bankruptcyor Financial
Reorganization or otheractions stated above at a later date and wishes to exhibit
in an BROADCASTITKW.COM/EVENTSshow,its seniority points begin at zero.
Forfeited show senioritypointswill notbe reinstated.
b. Show PointTies for renewingExhibitorswillbe broken based on the following
criteria:
1. In the case of a pointtie between two or more Exhibitors, priority shallbe
given to the Exhibitorwith the highestaveragesquare footage of space at that
particularshow overthe preceding threecalendaryears.
2. If there is still a tie, the tie shall bebroken based on consecutive years
exhibited.
3. If there is still a tie, priority shall be givento the exhibitorthathas submitted its
applicationand depositon the earliestdate.
c. BROADCASTITKW.COM/EVENTS retains the right, at its discretion,to group
like and related products, and to considerceiling and doorheights and other
factors in planning exhibitareas in the bestinterestof each show. The seniority
pointsystem shall notinterfere with such necessary managementdecisions.
d. Exhibitionat a show in consecutive years isnot requiredto retain show points
previouslyaccumulated(providedthat the Exhibitoris in compliance with all
other guidelinesoutlined inthe rules and regulations).
e. The seniority pointsystem shall be used for the purposeof upgradingExhibitors
to new locationswithin a show, and for the purpose of increasing the size of an
Exhibitor’s space, when such space becomes available for re-allocation among
currentExhibitors.Generally,no displacementof current, individual Exhibitors
shouldoccur. The senioritysystem will be “frozen”90 days priorto the show.
Applications and requests for changes received fewerthan 90 days before the
start of a show will be given priority based on the order in which they were
received,withoutregard to membershipor seniority.
f. Some showshave BROADCASTITKW.COM/EVENTS MemberOnly designated
areas.Check yourcontractback for these shows/areas.
4. Dealer/Manufacturer Allocation
1. ManufacturersTurning Space Overto Dealers
a. In cases where a manufacturercontractsfor the space, they may
voluntarilyturn the space overto their dealer,if the dealerhas been the only
such dealerin that space for the previous 2 years or more. In such casesshow
seniority points remain with the manufacturerand do not apply to future
allocationfor the dealer.
b. In cases where a manufacturercontracts forthe space and the space
was worked by multipledealers, the space may notbe turned over. The space
will be released and re-allocated accordingto the seniority pointsystem. If the
individualdealerswish to apply forspace, theirown seniority points will
determineallocationof their space and they will be consideredrenewing
Exhibitors.
2. In cases where a manufacturerlosestheirability to exhibitin a space due to a
changein boat linescarried ata dealership, and wishesto apply for space, theirown
show seniority points will determine allocation of space and they will be considereda
renewing Exhibitor. In the eventthe show area is underthe “freeze” policy, priority will
be given to that manufacturer.
3. DealersTurning Space Overto Manufacturers
a. In cases where a dealercontracts for the space, they may voluntarily
turn the space overto theirmanufacturer,if the manufacturerhas been the only
manufacturerrepresentedby the dealerin that space for the previous2 years or
more.In such casesshow seniority points remainwith the dealerand do not
apply to future allocation forthe manufacturer.
b. In cases where a dealercontracts for space and that space was
occupied by multiplemanufacturers that space may notbe turned over. The
space willbe released and re-allocated accordingto the seniority pointsystem. If
one of the representedmanufacturers wishes to apply forspace, theirown
seniority points willdeterminetheirallocation ofspace and they will be
considered renewing Exhibitors.
5. Space “Freeze”Policy
a. When a show has a higherdemand for space than is available,50% of all
available space willbe offered to existing Exhibitors thathave requestedan increase.
The remaining 50% of available space willbe offered to new companies thatwish to
exhibitin the show and have submitted an applicationand payment.Space willbe
allocated as described below in section5b.
b. When an area of a show has a higherdemand for space than is available,a
space “freeze”policywill be imposed. When a “freeze” policy isimposed:
i. Available space will be divided equally—50%will beallocatedto those
Exhibitors already inthe “frozen”show or areas requesting a space increaseand
50% will be allocated to those wishing to get in from the non-frozen areas.
ii. Exhibitors being allocated new or additionalspacein a “frozen” show or
area will receiveno more than: 100 sq. ft. if a booth;400 sq. ft. if linearbulk
space;1,500 – 2,000 sq. ft. if bulk;or 2 slips ifin-water. Minorincreasesor
decreasesin space due to a changein location will notbe consideredwhen
applying the space “freeze”policy.
iii.Exhibitors in the “frozen”show or area will be eligible for a space
increase (provided space is available)only after waiting at leastfour years after
first entering the “frozen” area.Example:Exhibitorenters the “frozen”area in
2011,sits out 2012,2013,2014 and 2015 and is eligiblein 2016.
iv. A maximum totalspacesize cap mayapplyin shows thatare “frozen”or
have “frozen”areas.
6. Purchase of an Exhibitor Other Than Through or Out of Bankruptcy or Financial
Reorganization
In cases where one company(the “Purchaser”)buys the assets of a qualifying
company (the “Seller”),the followingcriteriawillbe used to determinetransfer(if any)
of the BROADCASTITKW.COM/EVENTS showseniority points,Memberpoints,and/or
existing boatshow space by the Seller. If an Exhibiting company doesnot purchase
space in any BROADCASTITKW.COM/EVENTS show and has notbeen a
BROADCASTITKW.COM/EVENTS memberin good standing for five consecutive
years,it will be consideredinactive, all show senioritypointswillbe forfeited and its
ability to transfershow seniority points to a new ownershallterminate.Upon
notificationto BROADCASTITKW.COM/EVENTS,Purchaserand Sellerwill be
provided with documents neededto substantiate the transfer of any senioritypointsor
boat show space.
Sellerwillcomplete a “Certificate of Sale”document. This documentwill initiate
the internal processand BROADCASTITKW.COM/EVENTS staff will notify Purchaser
of optionsin a timelymanner.Purchasercan only exhibitnewlypurchased brands in
existing boatshow spacesonce all documentationhas been provided. For purposesof
this section the following definitions willapply:
QUALIFYINGCOMPANY is a companythat(i) is operating its business as a
going concern atthe time of the proposed saleor during the twelve months preceding
the sale and has not been subjectto or emerged from Bankruptcyor Financial
Reorganization as definedin section3(a), (ii) if applicable,is current in its dues
paymentto BROADCASTITKW.COM/EVENTS, (iii)has purchasedor occupiedspace
in any BROADCASTITKW.COM/EVENTS show at any time duringthe five-yearperiod
precedingthe proposedsale, and (iv) is not in defaultin paymentof any pastdue
balance to BROADCASTITKW.COM/EVENTS at the time of the proposed sale.
SUBSTANTIALLY ALLOF THE ASSETS – A sale of substantiallyall of the assets ofa
company meansthe completeand final disposition ofall or substantially all of the
assets that a companyhad at the time it last participatedin a
BROADCASTITKW.COM/EVENTS show.
A. The show seniority points cannotbe sold, sublet, given, assigned,or
otherwisetransferred by a company,voluntarily orinvoluntarily.The show
seniority points can only betransferred by a Qualifying Company as part of
the sale of all or substantially all of its assets to the Purchaserand mustbe
approved by BROADCASTITKW.COM/EVENTS.
B. In the eventsubstantially all ofthe assets ofthe Sellerare sold, then,if the
Seller’sseparatespaceis eliminatedand absorbed into the Purchaser’s,the
seniority points of the Sellerare liquidated and cannotbe revived at a later
date.
C. When the buyerand sellerhave seniority pointhistory, the new pointtotal of
the Purchaserwill be determinedby the total years eithercompany
accumulatedpoints, butno year will be counted twice.
D. All show senioritypointsare tied to one of the three types of manufacturing
Members (boats, engines or accessories)and may not be transferred from
one type of Memberto another. If a Selleris a differenttype of Member, then
as KuwaitEnvironmentPublicAuthority (EPA)rate membershipmustbe
maintained bythe Sellerin order to exhibitthe productof the Purchaseras a
Member. In such cases, pointsand space are not transferable to the other
type of membership. The exception to this rule is a corporate merge/display.
E. When an Exhibitorfiles for or becomes subjectto Bankruptcy orFinancial
Reorganization as definedin section3(a), all show senioritypointsrelated to
that Exhibitoror any Affiliatesincluded in such Bankruptcy or Financial
Reorganization are forfeited and may not be resurrectedat a laterdate. If the
Exhibitor, its Affiliates orits successoremergesfrom Bankruptcy orFinancial
Reorganization protection at a later date, the forfeited seniority points willnot
be reinstated.
7. International Companies
A. Importers of boats and marineproducts are eligibleto join
BROADCASTITKW.COM/EVENTS as the exclusive Kuwaitrepresentative ofa
particularinternationalmanufacturer,or as a generalimportingagentas a BroadcastIT
Member. However, such importers musthave an individualmembership in
BROADCASTITKW.COM/EVENTS for each line represented ifthe particularlineis to
receiveMembertreatmentat boatshows or trade events.Members joining as
“Representatives”or “Importing Agents”cannotuse that membership to apply to one or
more imported productlines.
b. If a country has a group exhibitin a BROADCASTITKW.COM/EVENTSshow
or trade event, then the individualexhibitorwithin this group has the rightto
accumulate points, which willbe consideredif and when that companydecidesto have
a separateexhibitof its own.
8. MemberCompanies
a. Any Memberis generallyentitled to applyfor show space, and no be rejected
because of its productline. The exception to this would be semi-related product(this
type of producthas an applicationto not only the marineindustry butto other
industries:cars, homes, etc.) where the maximum allowableamounthas already been
metfor that product. The reverse is not true; not all Exhibitors are eligiblefor
membership.
b. All MemberExhibitors includingAssociate Members enjoyMemberspace
rates and seniority points.A Member-Exhibitormay display products for which itis not
the Member(i.e., it is a dealer, distributor,or otherwise represents the productbeing
displayed).However,if the exhibitis a single booth (10’x 10’ booth or smaller),such
space costwill be chargedat the Non Member
rate if larger, space costwill be pro-rated according to the amountof Member/Non-
Memberproduct, with a minimum billable space at75 sq .ft. for each category. In such
cases Memberallocation priority, seniority, and spacerate do not apply to exhibit
space notoccupiedby the Member’s own products orservices.
c. Entitiesownedby a “Parent” Membercompanywhichmake a product
pertainingto a differenttype of BROADCASTITKW.COM/EVENTSmembership,are
not entitled to the membershipbenefits or seniority ofthe Parent in show matters.
(Example:a boatcompanybegins to marketa newline ofelectronics and wants a show
space. The new productline/entity startsout with no points and musttake separate
membership to begin to accumulate Memberpoints.)The exception to this rule is a
corporate merge/display.
d. Members are entitledto the Member-ratefor space only ifdues are paid prior
to December1st
. New Members thatjoin BROADCASTITKW.COM/EVENTS between
the dues deadline and opening day of the show will receivea full Memberdiscount.
Exhibitor-Members dropping membership losetheirMemberbenefits.Points
accumulatedby them during theirmembershipwillnot be considered when allocating
space.TheseMemberpoints willbe maintained as history and willbe reinstatedonly if
membership is reinstated within six months.
9. Common Ownershipof SeveralExhibitors
An Exhibitorcan create or absorb into its display any numberof “Brands.”A Brand is
meantto includeany companyproductline,operatingdivision or subsidiary;the
relationship is not the governing factor. The governing factoris that an Exhibitoris
created or eliminated fora brand havinga separate identity butowned by a parent
company.
a. A joint venture,whetherbetween Members or between a Memberand a non-
member,is a separate company and does notqualifyto use the Memberstatus of
eitherparty.
b. Dues payments from a Membercompanymustinclude the applicable dues
based on sales, for all brands it owns whichpurchaseor expectto purchasespaceat
BROADCASTITKW.COM/EVENTS shows/trade
events at the Memberspace rate. Thus,Entity A, if it makesone paymentto cover
dues of all a parent’s Memberbrands, mustcoverthe dues applicableto those brands,
if those brands are to enjoy
Memberbenefitsat shows.
c. When an Exhibitorrequestsseparate spacefor a new brand which has a
separate identity,or takes an existing brandand decidesit shouldhave a space of its
own, that brand becomes an Exhibitor, beginsits own show points from zero and will
not be treated as a prioryear Exhibitor. For Double-Tiered shows, the brand is
attached to the Memberrecord, but with its own Memberpointsstarting at zero.
d. When a parentcompanytakes a brand which is already exhibiting separately
and eliminates thatbrand or absorbsit into the parent’s exhibit, the parent has the right
to take over the space, butcannottransferit to anotherbrand. In such casesthe show
points are merged and cannotbe revived ata later date.A new show pointtotal will be
determined by the totalyears eithercompany accumulated points, butno year will be
counted twice. In a Double-Tieredshow,a new Memberpointtotal will also be
determined. In a show,if, after eliminating or absorbing a brand into the parent
companies’exhibit, the parentshould everdecideto separate again or sell off a brand,
that brand would start its seniorityat zero.
e. In a show,Memberpoints can go to both the Memberof record and its
separate brandseach year.Show pointsgo only to the individualExhibitorof record
and are specific to each show.
f. Once a brand has established its own exhibitspace, all allocation procedures
apply to that Exhibitoron the same basis aswith every otherExhibitor.
g. An Exhibitormay in its space, presenta “sampling”of other products made by
entitieswhichshare common ownershipunderthese guidelines:
i. Total spacetaken up by such “sampled”products maynotexceed 20
percentof the total exhibitspace.
ii. Only “static”displaysof the sampled products maybe displayedin the
designated exhibitarea.
iii.Boats displayed as “samples”musthave theirown exhibitspacein the
same show.
iv. The above applies to boats, engines, accessories, equipment, and
services, but excepted are accessories, engines, and trailers whichare integral
to and part of a boatdisplay ina boat area, and “slave”items, including logo’d
merchandise. The intentof this rule is to demonstratethe diversity of a
company’sproductlines, but not to add additionalsalesspacefor those sampled
products.
10. Display Props
An exhibitormay exhibitproductsmarketedby anothermanufactureras a display prop
such as an engine company using anothercompany’s boatsto display enginesat an
in-watersetting.Exhibitorwill notdisplayany productwithoutthe endorsementor
approval of the manufacturer. However, exhibitormusthave purchased exhibitspace
underits name in the sameshow.
11. Corporate Displays/BrandConsolidation forExhibit
Purposes
Corporate Display refers to a company whose manufacturer’s different productsin
different BROADCASTITKW.COM/EVENTSdivisions.Brand Consolidation refers to a
company thatmanufacturers different
products in the same BROADCASTITKW.COM/EVENTSdivisions.A parentcompany
may choose to combineall of its brands into a corporate display with one seniority
total.
a. In a brand consolidation,a company mayhave as many brandsof the parent
company within its space(s)as it determines necessary based on the parents’
marketingplan.
b. Brands may change from yearto yearand from show to show.
c. Once the individual brand seniorityhas been absorbed,it cannotbe
resurrected inthe future.
d. Shouldthe parentcompanyeverdecideto separate again orsell thatbrand,
that brand’s seniority wouldstart at zero.
These rules apply to newlyacquiredbrands as wellas startup brands.
12. Compliance with KuwaitLaws
Exhibitorrepresentsand warrants that all displayed products comply
with all applicable Kuwait laws, regulationsand consentdecreeor other
mandatoryrequirements,including any applicablesafety standards that
may be issued by the KuwaitConsumerProtection Law (KCPL),

governmentalagencies(potentially including Kuwait Customs)will
routinely inspectproducts at the show.
If applicable products do notmeetthe KCPL safety standard orEPA
emissionscompliance,they may notbe displayedin any
BROADCASTITKW.COM/EVENTS show.
Exhibitors agree to cooperate fully with and respond to any questions
from any governmentofficialsat the show.Exhibitors agree thatneither
the show parties (as defined in the exhibitorspacecontract)northe
show is responsiblefor the enforcementof emissionsor safety
regulations;and that none of the show parties northe show may be held
responsible for any penalties, burdens or costs that are associatedwith
or resultfrom the enforcementof environmental orsafety laws by
appropriate officials.
13. No False or Misleading Statements
Exhibitors representand warrantthat (in and around the show facility)they will
not make any false or misleadingstatements or claims inprint,DisplayProps
orally,or in any medium abouttheiror a competitor’s products (collectively the
“Truthful AdvertisingRepresentation”). For example,An exhibitormayexhibit
products marketed by anothermanufactureras exhibitors will notadvertise
displayedproducts as being “KUWAIT ENVIRONMENT PUBLIC AUTHORITY
(EPA) ” or “meeting KUWAIT ENVIRONMENT PUBLIC AUTHORITY (EPA)
standards”if these products havenotbeen certified to meetthe current,
applicableKUWAIT ENVIRONMENTPUBLIC AUTHORITY (EPA)Control of
emissionsfor propulsion marine enginesand vesselstandards.
14. Infringement
Exhibitorrepresentsand warrants that any products or equipmentwhich
Purposesit exhibits in the show:(i) are and will be original with exhibitor and will
not incorporate any ideas, concepts, techniques, inventions, Corporate Display
refers to a companywhosemanufacturer’s differentcreations,works,processes,
designs ormethodsthat are owned by or productsin different
BROADCASTITKW.COM/EVENTS divisions. licensed exclusivelyto any third
party, and (ii) do not and will notinfringeupon or violate any patents, copyrights,
trade secrets,Brand Consolidation refers to a company thatmanufacturers
different trademarksor inventionsor any other intellectual marketing rights of
products in the same BROADCASTITKW.COM/EVENTS divisions. any third
party (collectively,the “InfringementRepresentation”).
15. IndividualExhibitors are Responsiblefor Enforcement
Exhibitors (not the show parties or the show)are responsible for
enforcing (through the appropriate governmentalor authorizedofficials)
any claimsagainstother exhibitors who are displaying productsthat
allegedly violate their“Truthful Advertising Representation”(as set
forth above initem #13 or their“infringementRepresentation”as set
forth in item #14). For example,to remove an infringing product,an
empowered governmentofficial should presenta court-orderthat
clearlyand directly appliesto the displayed,infringingproduct.
However, exhibitors recognizeand agree that the show (in its sole
discretion)can require a manufacturerto remove from the show floor
products thatclearlyand blatantlyviolate and breachthe “Infringement
Representation”as set forth in item #12 above.
16. ConductBetween Exhibitors
Exhibitors agree thatthey will notdisruptthe show by harassing otherexhibitors,
or by disrupting otherexhibitors’ability to conductnormalbusinessactivity atthe
show.In its sole discretion, BROADCASTITKW.COM/EVENTS may physically

SUBSTANTIALLY ALLOF THE ASSETS – A sale of substantiallyall of the assets ofa company meansthe completeand final disposition ofall or substantially all of the assets that a companyhad at the time it last participatedin a BROADCASTITKW.COM/EVENTS show. A. The show seniority points cannotbe sold, sublet, given, assigned,or otherwisetransferred by a company, voluntarily orinvoluntarily. The show seniority points can only betransferred by a Qualifying Company as part of the sale of all or substantially all of its assets to the Purchaserand mustbe approved by BROADCASTITKW.COM/EVENTS. B. In the eventsubstantially all ofthe assets ofthe Sellerare sold, then,if the Seller’sseparatespaceis eliminatedand absorbed into the Purchaser’s,the seniority points of the Sellerare liquidated and cannotbe revived at a later date.
  • 12. C. When the buyerand sellerhave seniority pointhistory, the new pointtotal of the Purchaserwill be determinedby the total years eithercompany accumulatedpoints, butno year will be counted twice. D. All show senioritypointsare tied to one of the three types of manufacturing Members (boats, engines or accessories)and may not be transferred from one type of Memberto another. If a Selleris a differenttype of Member, then as KuwaitEnvironmentPublicAuthority (EPA)rate membershipmustbe maintained bythe Sellerin order to exhibitthe productof the Purchaseras a Member. In such cases, pointsand space are not transferable to the other type of membership. The exception to this rule is a corporate merge/display. E. When an Exhibitorfiles for or becomes subjectto Bankruptcy orFinancial Reorganization as definedin section3(a), all show senioritypointsrelated to that Exhibitoror any Affiliatesincluded in such Bankruptcy or Financial Reorganization are forfeited and may not be resurrectedat a laterdate. If the Exhibitor, its Affiliates orits successoremergesfrom Bankruptcy orFinancial Reorganization protection at a later date, the forfeited seniority points willnot be reinstated. 7. International Companies A. Importers of boats and marineproducts are eligibleto join BROADCASTITKW.COM/EVENTS as the exclusive Kuwaitrepresentative ofa particularinternationalmanufacturer,or as a generalimportingagentas a BroadcastIT Member. However, such importers musthave an individualmembership in BROADCASTITKW.COM/EVENTS for each line represented ifthe particularlineis to receiveMembertreatmentat boatshows or trade events.Members joining as
  • 13. “Representatives”or “Importing Agents”cannotuse that membership to apply to one or more imported productlines. b. If a country has a group exhibitin a BROADCASTITKW.COM/EVENTSshow or trade event, then the individualexhibitorwithin this group has the rightto accumulate points, which willbe consideredif and when that companydecidesto have a separateexhibitof its own. 8. MemberCompanies a. Any Memberis generallyentitled to applyfor show space, and no be rejected because of its productline. The exception to this would be semi-related product(this type of producthas an applicationto not only the marineindustry butto other industries:cars, homes, etc.) where the maximum allowableamounthas already been metfor that product. The reverse is not true; not all Exhibitors are eligiblefor membership. b. All MemberExhibitors includingAssociate Members enjoyMemberspace rates and seniority points.A Member-Exhibitormay display products for which itis not the Member(i.e., it is a dealer, distributor,or otherwise represents the productbeing displayed). However,if the exhibitis a single booth (10’x 10’ booth or smaller),such space costwill be chargedat the Non Member
  • 14. rate if larger, space costwill be pro-rated according to the amountof Member/Non- Memberproduct, with a minimum billable space at75 sq .ft. for each category. In such cases Memberallocation priority, seniority, and spacerate do not apply to exhibit space notoccupiedby the Member’s own products orservices. c. Entitiesownedby a “Parent” Membercompanywhichmake a product pertainingto a differenttype of BROADCASTITKW.COM/EVENTSmembership,are not entitled to the membershipbenefits or seniority ofthe Parent in show matters. (Example:a boatcompanybegins to marketa newline ofelectronics and wants a show space. The new productline/entity startsout with no points and musttake separate membership to begin to accumulate Memberpoints.)The exception to this rule is a corporate merge/display. d. Members are entitledto the Member-ratefor space only ifdues are paid prior to December1st . New Members thatjoin BROADCASTITKW.COM/EVENTS between the dues deadline and opening day of the show will receivea full Memberdiscount. Exhibitor-Members dropping membership losetheirMemberbenefits.Points accumulatedby them during theirmembershipwillnot be considered when allocating space.TheseMemberpoints willbe maintained as history and willbe reinstatedonly if membership is reinstated within six months. 9. Common Ownershipof SeveralExhibitors
  • 15. An Exhibitorcan create or absorb into its display any numberof “Brands.”A Brand is meantto includeany companyproductline, operatingdivision or subsidiary;the relationship is not the governing factor. The governing factoris that an Exhibitoris created or eliminated fora brand havinga separate identity butowned by a parent company. a. A joint venture, whetherbetween Members or between a Memberand a non- member,is a separate company and does notqualifyto use the Memberstatus of eitherparty. b. Dues payments from a Membercompanymustinclude the applicable dues based on sales, for all brands it owns whichpurchaseor expectto purchasespaceat BROADCASTITKW.COM/EVENTS shows/trade events at the Memberspace rate. Thus,Entity A, if it makesone paymentto cover dues of all a parent’s Memberbrands, mustcoverthe dues applicableto those brands, if those brands are to enjoy Memberbenefitsat shows. c. When an Exhibitorrequestsseparate spacefor a new brand which has a separate identity,or takes an existing brandand decidesit shouldhave a space of its own, that brand becomes an Exhibitor, beginsits own show points from zero and will not be treated as a prioryear Exhibitor. For Double-Tiered shows, the brand is attached to the Memberrecord, but with its own Memberpointsstarting at zero. d. When a parentcompanytakes a brand which is already exhibiting separately and eliminates thatbrand or absorbsit into the parent’s exhibit, the parent has the right to take over the space, butcannottransferit to anotherbrand. In such casesthe show
  • 16. points are merged and cannotbe revived ata later date.A new show pointtotal will be determined by the totalyears eithercompany accumulated points, butno year will be counted twice. In a Double-Tieredshow,a new Memberpointtotal will also be determined. In a show,if, after eliminating or absorbing a brand into the parent companies’exhibit, the parentshould everdecideto separate again or sell off a brand, that brand would start its seniorityat zero. e. In a show,Memberpoints can go to both the Memberof record and its separate brandseach year.Show pointsgo only to the individualExhibitorof record and are specific to each show. f. Once a brand has established its own exhibitspace, all allocation procedures apply to that Exhibitoron the same basis aswith every otherExhibitor. g. An Exhibitormay in its space, presenta “sampling”of other products made by entitieswhichshare common ownershipunderthese guidelines: i. Total spacetaken up by such “sampled”products maynotexceed 20 percentof the total exhibitspace. ii. Only “static”displaysof the sampled products maybe displayedin the designated exhibitarea. iii.Boats displayed as “samples”musthave theirown exhibitspacein the same show. iv. The above applies to boats, engines, accessories, equipment, and services, but excepted are accessories, engines, and trailers whichare integral to and part of a boatdisplay ina boat area, and “slave”items, including logo’d merchandise. The intentof this rule is to demonstratethe diversity of a
  • 17. company’sproductlines, but not to add additionalsalesspacefor those sampled products. 10. Display Props An exhibitormay exhibitproductsmarketedby anothermanufactureras a display prop such as an engine company using anothercompany’s boatsto display enginesat an in-watersetting.Exhibitorwill notdisplayany productwithoutthe endorsementor approval of the manufacturer. However, exhibitormusthave purchased exhibitspace underits name in the sameshow. 11. Corporate Displays/BrandConsolidation forExhibit Purposes Corporate Display refers to a company whose manufacturer’s different productsin different BROADCASTITKW.COM/EVENTSdivisions.Brand Consolidation refers to a company thatmanufacturers different products in the same BROADCASTITKW.COM/EVENTSdivisions.A parentcompany may choose to combineall of its brands into a corporate display with one seniority total.
  • 18. a. In a brand consolidation,a company mayhave as many brandsof the parent company within its space(s)as it determines necessary based on the parents’ marketingplan. b. Brands may change from yearto yearand from show to show. c. Once the individual brand seniorityhas been absorbed,it cannotbe resurrected inthe future. d. Shouldthe parentcompanyeverdecideto separate again orsell thatbrand, that brand’s seniority wouldstart at zero. These rules apply to newlyacquiredbrands as wellas startup brands. 12. Compliance with KuwaitLaws Exhibitorrepresentsand warrants that all displayed products comply with all applicable Kuwait laws, regulationsand consentdecreeor other mandatoryrequirements, including any applicablesafety standards that may be issued by the KuwaitConsumerProtection Law (KCPL), and the emissionregulations issuedby the KUWAIT Environmental ProtectionAgency (EPA)(collectively the “Full Compliance
