”Commercialization”?
Why IP, why control?
As barriers to entry – to deter others (and enforce if needed)
As objects for transactions – to enable business opportunities
As a tool for communication – to drive company value
Control ≠ blocking others
Control = decide how the assets can be used
Software
Companies with high ratio of intellectual assets
Traditionally the assets can be seen as:
Intellectual assets in an industrial company 20%
Intellectual assets in a knowledge-based company 80%

Linus Trademark Institute
“The Linux Mark Institute (LMI) protects the public and Linux users from
unauthorized and confusing uses of the trademark and to authorize proper uses of
the mark through an accessible sublicensing program. In affiliation with the Linux
Foundation, LMI is able to offer a free, perpetual, world-wide sublicense to
approved sublicense applicants. In return, the sublicensee holders must agree not
to challenge Linus Torvalds' ownership of the Linux mark in any jurisdiction, and to
provide proper attribution of ownership on their goods, services and elsewhere.

Software
An example
Mjukvarubolaget AB creates a new app that will optimize what
activities you should do during your workday based on
previously obtained figures from a smart watch. For example, if
the smart watch have indicated that you always go past the
grocery store on Wednesday evenings at 9 pm, the software
will suggest that you buy your groceries when you pass the
store at 9 pm.
The competitive advantage of the software is that it has a lot of
information available about other users and how they optimize
their days.
The question is how should they build the software to enable
the desired control?
Software
An example
The whole software, including the database is provided to the
customer in an app.
Tool for control: copyright, EULA
Pros: Instant access, no need for internet access.
Cons: Easier to retrieve the data, harder to control the
dissemination of the data.
The customer is provided with an app, the database is
accessible in the cloud.
Tool for control: Trade secret
Pros: The data can be controlled by the company.
Cons: Need for internet access.
Software
The lesson
If the database is the a key asset it is better to keep it as a trade
secret if the company does not want to disseminate the
database…
Software
Another example – development of software
Development start
• Low on cash
Tools: Use agreements
and trade secrets
Acquire users
• Still low on cash
• Build a brand
• File trademarks
Develop hard IP
• More cash
• File design rights
• File patents
Stage 1. Stage 2. Stage 3.
The problem is that you will need to predict what you will
do at stage 3 so you know how to act at stage 1. during
the development of the value proposition (the software
product).
If you don´t, you might not be able to effectively control
your competitive advantage at a later stage in the growth
of the company.
Software
The lesson
Plan the development of software ahead to enable the
development of control of key assets.
