DUE DILIGENCE IN M&A CARVE-OUT TRANSACTIONS
• Asset Purchases (or “carve-out transactions”) are among the
most complicated types of M&A transactions
• Commingled Assets — personnel, data, IP, IT, customers,

• Assets are often divided based on whether they are “primarily” or
