Nummorum II – Exponential Innovation Fund is a $155,000,000.00 MXN Venture Capital Fund established to achive in a medium term capital appreciation through a portafolio of minority investment in USA and Mexico medium-stage and growth-capital companies. The Fund intends to finance the growth and enhance the development of it portafolio companies, through a combination of direct investment, strategic guidance, mentoring, intelligence and comercial support all aimed at providing our investors with superior returns.

- 13. Terms and Conditions Offering: $155,000,000.00MXN in interest B trustee (LP). The manager reserve the right to accept contributions exceeding the Target Amount Offering. Initial Closing: When $46,500,000.00MXN in commitments are collected, the Fund may declare an initial closing and start operations with the understanding that the final decision to carry out any investment in Portafolio Company should be the sole authority of the General Partner.
- 14. Term: 10 years as from the Initial Closing. Minimum Commitment: $5,000,000.00MXN for individuals; $10,000,000.00MXN for legal entities. Preferential Yield: 8% annual compounded
- 15. Carried Interest: 80% to B trustees (LP) and 20% to Manager (GP) after having returned the invested capital to LP Management Fee: 3% annual of the total commited capital during the first four years decreasing to 2.5% annual during the remaining lifetime of the fund. Undertaking of GP: The manager undertakes to invest, at least 1% of the total estate of the Fund.
- 16. Date of Initial Closing: Deadline on December 30, 2015 Date of Final Closing: Twelve months after the Date of Initial Closing.
