Licensing is the
bridge between
innovation and
commerce, and
a critical
component of
the modern
economy.
Patent licenses are agreements
between the owner of a patent and
another party that permit the use of that
patent in some capacity. Patent licenses
are necessary to enable the
commercialization and sharing of
patented technology, to avoid litigation,
to enter new markets, and to access
essential technology needed for
innovation. They provide a mechanism
for companies to collaborate, maximize
the commercial potential of their
inventions, and accelerate the pace of
technological advancement. In this
document, we discuss the different
types of patent licenses.
An exclusive license gives the licensee
(the person receiving the license) the
right to use the patented technology
exclusively. The owner of the patent (the
licensor) cannot license the technology
to any other party, nor can they use it
themselves. Exclusive licenses are
commonly used when a company
wants to use a patented technology in
a specific market or geographic area.
Exclusive licenses are often granted for
a fixed period, after which the license
expires.
EXCLUSIVE LICENSE
A non-exclusive license grants the
licensee the right to use the patent
technology, but the licensor retains the
right to license the technology to other
parties and use it themselves. Non-
exclusive licenses are common when
the technology is widely used or when
the licensor wants to earn revenue from
multiple sources.
NON-EXCLUSIVE LICENSE
A sole license grants the licensee the
right to use the patent technology
exclusively, but the licensor retains the
right to use the technology. However,
the licensor cannot license the
technology to any other party. Sole
licenses are commonly used when the
licensee is the only party capable of
commercializing the technology or
when the licensor wants to ensure that
the technology is used only in a specific
market or geographic area.
SOLE LICENSE
A field-of-use license grants the
licensee the right to use the patented
technology in a particular field or
application. For example, a patent
owner may grant a field-of-use license
to a company that wants to use the
patented technology in the production
of a particular product, but not in any
other application. Field-of-use licenses
are common when the technology has
multiple potential applications or when
the licensor wants to earn revenue from
multiple sources.
FIELD-OF-USE LICENSE
A cross-license is an agreement
between two or more parties, each of
whom owns one or more patents. The
parties agree to license their patents to
each other, allowing them to use each
other's technology without fear of
infringing on each other's patents.
Cross-licenses are common in
industries where multiple companies
hold patents for similar technologies,
such as the telecommunications
industry.
CROSS-LICENSE
A compulsory license is a license that is
granted by a government or court
without the consent of the patent
owner. Compulsory licenses are
granted when the patented technology
is deemed essential to public health or
safety, and the patent owner is unwilling
or unable to license the technology to
others. Compulsory licenses are rare
and are generally only granted in
exceptional circumstances.
