This morning, our colleague Laura van Gijn appeared on the Dutch national news (NOS) to discuss the case brought against Snap Inc. on behalf of Stichting Rookpreventie Jeugd, supported by Leiden University Medical Center, Antoni van Leeuwenhoek and more than 1,300 medical professionals. The case highlights the ongoing availability of illegal tobacco and vape products to children through Snapchat, despite prior commitments by Snap to address the issue. Research shows that children still easily find dealers on the platform, with an average of more than 50 dealers per account. Together with our team at De Roos, under which Sjoerd Lopik en Sietske de Boer a formal request for enforcement has now been submitted to the Dutch Authority for Consumers and Markets (Autoriteit Consument & Markt, ACM). We are proud to support this important action aimed at protecting children's health. This case underlines the importance of using the law as a force for good. Vanochtend was ik op het NOS ochtendjournaal voor de zaak Dokters vs Snap Inc. Dit vanwege handel in vapes, sigaretten, snus etc aan kinderen via Snapchat. Snap heeft ondanks beloftes de situatie niet kunnen verbeteren: kinderen vinden nog steeds even gemakkelijk dealers op het platform. Gemiddeld herkent een kind meer dan 50 dealers via hun Snapchat account, zo toont onderzoek van de artsen aan. Nu is een handhavingsverzoek ingediend bij de Autoriteit Consument & Markt. Het verzoek is ingediend namens Stichting Rookpreventie Jeugd, en wordt mede ondersteund door het Leiden University Medical Center en Antoni van Leeuwenhoek en 1300+ medici die zich aansloten bij Vapen #jouwkeuze. Het verzoek diende ik in samen met ons geweldige team bij De Roos in (vooral veel dank aan Sietske de Boer en Sjoerd Lopik). 👉 “Eerst lachen ze je uit, dan vragen ze hoe je het doet, en daarna proberen ze je te kopiëren.” Als ondernemer voelt het in het begin vaak alsof je piloot bent van een vliegtuig dat je ondertussen nog aan het bouwen bent. Financiële onzekerheid, geen sociaal vangnet van een vaste baan, geen teamuitjes, kwartaalmeetings of fancy kantoor. Met een klein team ploeteren, bouwen, en ondertussen alle ruis trotseren. Helemaal als je iets nieuws op de markt brengt. Toen wij begonnen bestond er in onze branche nog géén videocursus. We hoorden regelmatig: “Dat gaat nooit werken. Binnen de kortste keren ligt jullie cursus geript op straat.” Dat soort geluiden kunnen demotiverend zijn. Maar juist dan moet je blijven geloven in je visie. En als het dan eindelijk begint te klikken en de markt je visie omarmt, staat vrijwel direct het volgende obstakel klaar: concurrenten die je schaamteloos kopiëren. Daarom: zorg dat je juridisch alles goed geregeld hebt en laat je bijstaan door specialisten. Wij zijn ontzettend dankbaar voor Kristel Plug Sietske de Boer Laura van Gijn en Philip de Roos van De Roos Advocaten. Dankzij hun deskundigheid, doortastendheid en persoonlijke betrokkenheid hebben wij keer op keer onze rechten kunnen beschermen. Een fijn en scherp team waar je écht op kunt bouwen. We zeggen altijd: liever spreken we jullie niet vaak, want contact betekent meestal dat er iets mis is. Maar wat is het alternatief? Niet succesvol willen zijn? 😉

Unlike amendments to the articles of association, changes to a shareholders' agreement require unanimity. This can lead to difficulties in practice, for example, in the context of a funding round. Our colleagues Olivier Schotel and Bas van Voorst explored the possibilities and limitations of amending a shareholders' agreement without full consent. Their article in Maandblad voor Ondernemingsrecht - MvO focuses on the inclusion and enforcement of amendment clauses, as well as the potential to compel cooperation where such clauses are lacking. Have you ever found an unsolicited photo or video of yourself online, taken without your knowledge, and shared without your consent? In a recent article by KRO-NCRV and Pointer (KRO-NCRV), our colleague Laura van Gijn highlights the legal remedies available under Dutch civil, portrait rights and privacy law for individuals confronted with unwanted exposure on the internet. The key message: even in public spaces, there are limits. If a photo or video is published without your consent in a way that is unnecessarily harmful, degrading or misleading, this may constitute a violation of your right to privacy or personal integrity. In such cases, notify the platform in question, the authorities (AP, ACM), and/or the police. Regulating the Future of Finance Thank you Dennis Post (EY) and the CPT Project - Amsterdam Centre for Tax Law of Universiteit van Amsterdam for inviting our colleague Willem Röell (Partner Financial Markets Regulations) at this year’s summer course on Digital Assets, Web3 and Blockchain: Taxation & Reporting. Willem Röell gave a lecture on the EU’s regulatory framework under MiCA, exploring how decentralised blockchain networks are, and could be, regulated. The session addressed legal and practical challenges of implementing blockchain-based systems. As digital asset markets mature, clear regulation is essential. MiCA is a major step forward, but questions around decentralisation, supervision and enforcement remain. Willem's session offered both legal and strategic insight into these issues. The legal & tax developments for digital assets matter not just for crypto-native businesses, but also for financial institutions and tech companies navigating tokenisation and decentralised systems.
