EVOLUTION OF STARTUP POLICY
On 16 January 2016, the Government launched the ‘Startup India’ program with a stated objective to build a
strong ecosystem for nurturing innovation and startups in the country that would drive sustainable economic
growth and generate large scale employment opportunities.
It comprised of 19 action items spanning across three key areas of ‘simplification and handholding’, ‘funding
support and incentives’, and ‘industry-academia partnerships and incubation’. Under the provisions of this plan,
startups were entitled to a number of benefits such as tax incentives including capital gains tax exemption,
Governments’ assistance in funding, prioritisation of startups in public procurement, etc.
Some other key benefits that the Action Plan included were entitlement
to an 80% rebate in patent registration fees as well as a 50% rebate in
trademark filing. Startups could also benefit from faster exit norms and
free of cost assistance provided by patent and trademark facilitators in
filing for Intellectual Property Rights (IPRs).

DPIIT-recognised startups are exempted from tax under Income Tax Act on the amount exceeding Fair Market
value of shares for issue of shares above the face value.
● The startup has to provide a duly signed self-declaration in Form 2 which is sent to Central Board of
Direct Taxes (CBDT) to claim exemption from the provisions of Section 56(2) (viib) of the Income Tax Act.
● Tax on investments above face value is a tax rule applicable to investments by Indian residents in the
capital raised by private limited companies via issue of shares. It was introduced as an anti-abuse
provision in the 2012 Budget to restraint attempts to launder undisclosed income.
● The tax was charged at an effective rate of over 30% (till FY 19) on investments in shares “above face
value” made at a premium. Such an investment attracted the provisions of Section 56(2) (viib) of the
Income Tax Act under which the excess premium was taxed under the head “income from other
sources”.

❖ Atal Tinkering Labs: The objective of this scheme is to foster curiosity, creativity and imagination in young minds
❖ Atal Incubation Centre: would nurture innovative start-up businesses in their pursuit to become scalable business
❖ Atal New India Challenge (ANIC) : The Atal New India Challenge aims to address the second Commercialization
Valley of Death,in which innovators are unable to access resources for piloting, testing, and market creation.
● Total of 24 challenges have been launched in partnership with ﬁve different ministries and departments of central
government.

❖ Mentor of Change Program: An initiative to engage leaders who can guide and mentor students in thousands
of Atal Tinkering Labs and startups and incubators under the programs of AIM. Leaders spend 1 to 2 hours every
week in one or more with such labs or with the startups/incubators and enable them to experience, learn and
practice future skills such as design and computational thinking and inculcate the spark of innovation and
entrepreneurship.
❖ Atal Community Innovation Center: The program is directed to encourage the spirit of innovation through
solution driven design thinking to serve the society and focus on undeserved regions of country.
❖ Aatmanirbhar Bharat ARISE-Atal New India Challenge (ANIC): is national initiative to promote research &
innovation and increase competitiveness of Indian startups and MSMEs. The objective is to proactively collaborate
with ﬁve esteemed Ministries and the associated industries to catalyse research.

Inception of Start-up India
on 16th
January, 2016
The Government of India launched the “Start-up India,” movement on January 16th, 2016 in New Delhi. The event
was aimed at celebrating the entrepreneurship spirit of country’s youth and was attended by CEOs and founders of
top Start-ups (over 1500) from across the country.
The event was a non-stop day long global workshop on Start-up Entrepreneurship and included a panel discussions
on topics such as “Unleashing Entrepreneurship and Innovation: What do Indian Startups Need to Grow and
Prosper”, “Celebrating Women: Stories of Innovative Women Entrepreneurs”, “How digitization will change India’s
future”, “Making Indian Healthcare Leapfrog” and “Financial inclusion is within reach”.

LABOUR LAWS
• In today’s environment, we have more startups and entrepreneurs than ever
before. However, many startups do not reach their full potential due to limited
guidance and access.
• One of the many challenges facing any entrepreneur or organisation is that while
the economy and the working culture in many places have progressed with times,
the rules governing employment, beneﬁts and terminations have often been
drafted a long years back.
• While most of these laws & acts have undergone amendments to make current
certain key provisions, there still does not exist a labour law framework which is
suitable for the current times. 55

The Ministry of Labour & Employment, with the aim to support & promote the
Start-Up and encouraging entrepreneurs in setting up new start-up issued an advisory
as follows:
● Start-ups shall be allowed to self-certify compliance (through the Startup mobile
app) with nine labour and environment laws. In case of labour laws, no inspections
will be conducted for a period of three years from the date of incorporation of the
start-up venture.
● For the ﬁrst year from the date of starting the start-up, no inspection under the
labour laws will take place.

● From the second year onwards, up to third year from the setting up of the units,
the start-up are required to furnish self-certified returns which will only be
inspected if a credible / verifiable complaint of violation is filed in writing and
approval has been obtained from the higher authorities.
● In the case of environment laws, Startups which fall under the ‘white category’ (as
defined by the Central Pollution Control Board (CPCB)) would be able to
self-certify compliance, and only random checks would be carried out in such
cases.

The list of the six labour laws which are included in the Ministry's advisory for
exemption from compliance:
● The Building and Other Constructions Workers’ (Regulation of Employment and
Conditions of Service) Act, 1996
An Act to regulate the employment and conditions of service of building and other
construction workers and to provide for their safety, health and welfare measures.

● The Inter-State Migrant Workmen(Regulation of Employment and Conditions of
Service) Act, 1979
This Act makes provision for availing with the onsite services of interstate workers by
the contractors / establishments to overcome only the temporary shortage of
required skilled workers in a state.
● The Payment of Gratuity Act, 1972
The employer has to pay gratuity to an employee upon the termination of service,
provided he has done a continuous service of 5 years or more.

● The Contract Labour (Regulation and Abolition) Act, 1970
This Act tells that the principal employer is responsible for adequately providing the
following to the contract labour: Rest rooms & washing facilities, First aid facilities,
Timely and complete payment of wages.
● The Employees’ Provident Funds and Miscellaneous Provisions Act, 1952
This act provides for the compulsory contribution towards a fund for the future of an
employee after his retirement. EPF contributions are mandatory for employees drawing
less than Rs. 15,000 per month.
● The Employees’ State Insurance Act, 1948
This Act is to provide certain beneﬁts to employees in case of sickness, maternity and
employment injury, and to make provisions for certain other matter to it

Reasons to give concessions to startup
● This advisory does not exempt start-up from the scope of compliance of labour
laws but the purpose of this advisory to make startup motivated to be
self-complied and fulﬁll adherence to the rule of law.
● Also, the exemptions allow some time for the new entrepreneurs to get familiar to
the labour laws and their implementing authorities.
● All such beneﬁts do actually boost the start-up sector and the existing labour laws

Intellectual Property means the creation of some tangible asset with respect to business and its operations. It primarily
encompasses Trade marks, Copyrights. Each category of IPR protects a different group of properties and work, therefore
choosing the right category is required.

and steal market share.

Fee structure and Scheme for facilitating SIPP (Startups
Intellectual Property Protection)
The fee payable for startup on the application for a patent is INR 1600.
Start-ups Intellectual Property Protection (SIPP) scheme launched by Government of India, facilitates the start-ups to file
applications for patents, designs and trademarks through registered facilitators in appropriate IP offices by paying only
the statutory fees.
NRDC as a facilitator:
● Providing general advisory on different intellectual property on pro bono basis
● Providing information on protecting and promoting IPRs to startups in other countries on pro bono basis
● Drafting provisional and complete patent specifications for inventions of start-ups
● Preparing and filing responses to examination reports and other queries, notices or letters by the IP office
● Appearing on behalf of start-up at hearings, as may be scheduled,
● Ensuring final disposal of the IPR application.
NRDC has supported more than 14 start-ups under this scheme.

Patents and startups- Norms
The rules for a patent are given below from which an entity can distinguish itself as patentable -
1. A Private Limited company as defined in the Companies Act, 2013 or a registered partnership firm
registered under section 59 of the Partnership Act, 1932 or a limited liability partnership under the
Limited Liability Partnership Act, 2002.
2. Registered or incorporated within the last five years.
3. The turnover in the last five years should be less than INR Twenty five crores (USD 3787878 at
conversion rate of USD 1 = INR 66) in each financial year.
4. Formed without splitting up or reconstructing a business, which was already in existence.
5. Able to Provide evidence in support of the above listed criteria to be recognized as start-up-
registration or incorporation certificate, and Balance sheet/Income tax acknowledgment for the
corresponding years.
6. Working towards innovation, development, deployment or commercialisation of new products,
processes or services driven by technology or intellectual property.

Who can register with startup India? An entity incorporated as a Private Limited Company, Partnership Firm or a
Limited Liability Partnership can register themselves under the startup India scheme. The annual turnover of these
business entities should not exceed 100 crores, and they should have been in existence for up to ten years from
the date of its incorporation/ registration. Such an entity should be working towards innovation, development or
improvement of products or services or processes.
What are the benefits of signing up with startup India?There are a number of benefits startups receive by the
Startup India Scheme. Nevertheless, in order to avail these benefits, an entity is needed to be set up by the DPIIT
as a startup.Startups are allowed to self certify their compliance for six labour laws and three environment laws.
This is allowed for a total period of five years from the date of incorporation/registration of the entity. Startups are
allowed a three-year tax exemption and the best intellectual property services and resources solely built to help
startups protect and commercialise their IPRs.

For how long is a company recognised as a startup?Any business entity that has completed 10 years from the date of its

A Patent is a statutory right for an invention granted for a limited period of time to the patentee by the Government, in exchange of full

2. What is the term of a patent in the Indian system?
The term of every patent granted is 20 years from the date of filing of application. However, for application filed under national phase under
Patent Cooperation Treaty (PCT), the term of patent will be 20 years from the international filing date accorded under PCT.
3. What can be patented?
An invention relating either to a product or process that is new, involving inventive step and capable of industrial application can be
patented. However, it must not fall into the categories of inventions that are non- patentable under sections 3 and 4 of the Act.
