(Four) Months & set up of all machinery will take approximately  50 (Fifty
) days.

ITEM ; 4 : TERMS AND CONDITIONS
ARTICLE 1. PACKING
The machines will be packed in standard 20’ and/or 40’ containers.
ARTICLE 2. DELIVERY
The equipment ordered by you can be delivered within 90 days from the date of
technically and commercially clear order.
ARTICLE 3. TERMS OF PAYMENT
30% by TT as an advance & the rest 70% value by an irrevocable and Ad. Confirmed
Letter of Credit from a first class Bank, payable at sight in favor of our supplier against
presentation of shipping documents. All the L/C opening Charges & Ad. Confirmation
charges will be borne by the client.
The letter of credit should be valid for shipment till the end of the delivery period plus
thirty days for negotiation. The letter of credit should allow transshipment.
ARTICLE 4. INSURANCE
Insurance for transit, storage shall be arranged by the buyer.
ARTICLE 5. OUR BANKER
Terms of payment
30% by TT as an advance & the rest 70% value by an irrevocable and Ad. Confirmed
Letter of Credit from a first class Bank, payable at sight in favor of our supplier against
presentation of shipping documents. All the L/C opening Charges & Ad. Confirmation
charges will be borne by the client.

Validity of this Letter of Credit will be delivery time + one month. LIC confirmation
charges to be borne by customer. In any case the LIC should allow transshipment.
The LIC has to be advised by the opening bank directly to our supplier’s Bank . In case
the opening Bank can not advice directly to our client’s Bank, our supplier cannot
accept extra costs for the involvement of more than one bank in any form. All charges
outside of China must be for the account of Buyer.
ARTICLE 6. INSPECTION
Cost for third party inspection, if required shall be done.
ARTICLE 7. WARRANTY AND LIABILITY
The machines are warranted for manufacturing defects for 12 months from the date of
commissioning or 18 ( Eighteen) months from the date of shipment, whichever is
earlier, based on the following conditions:
a. The warranty will cover components with manufacturing defects. The decision
      of  the manufacturer regarding repair/replacement of such components will be
      final. This warranty will
b. The seller is not responsible for the process or operating the machines.
c. The machines are operated in accordance to the operating and maintenance
instruction of seller. Only spare parts supplied by the seller have to be used. not
cover electrical/electronic items for which the warranty of their
manufacturer/supplier will be applicable
d) Normal wear and tear parts are excluded from the warranty.

e) The seller is responsible only for replacement/repair of parts and seller will not
accept any claim for damages/compensation or consequential damages like
loss of profits and wages, loss of production, raw material will be admissible.
The seller assumes no warranty, liability and will also not accept claims for short
deliveries, if the customer unpacks the machinery and performs any installation work
without supervision of the seller’s engineers/supervisors unless otherwise agreed in
writing by the seller.
ARTICLE 8. POWER SUPPLY
The voltage fluctuation should be maintained within 10% of the nominal voltage to
ensure protection of the electronic components of the machine. In case the variation is
higher, voltage stabilizer(s) will have to be installed by the buyer, at their cost, to
regulate the power supply.
ARTICLE 9. BEFORESALESSERVICE
As request from the buyer, we will offer the following service for the newcomer free of
charge. The buyer should submit the construction design to our supplier.
The workshop layout which mainly includes the machinery layout according the
manufacture process, the arrangement of Q&C room, spare parts storage, raw material
storage, finished products storage and maintenance room. The target of this layout is
guarantee high efficient production and convenient management.
The design of electrical system & Generator , Kiln etc. will be done by our experienced
engineers. According to our design drawing and instruction, the buy should prepare all
the facilities before the arrival of machinery.
ARTICLE 10. SUPERVISION OF ERECTION AND COMMISSIONING

The machines are supplied in partially assembled condition and require skilled
supervision of the seller’s technician(s) for erection & commissioning. The operating
instructions sent with the machines do not include detailed/complete instructions for
erection & commissioning. The Equipment price is does not include the cost of
supervision of erection & commissioning. A separate cost is indicated in the Quotation
for the same. The terms and conditions for this supervision will be as under: The Buyer
will supply skilled labor & welders at his cost with welding consumables. All utility
services to be ready at machine room.
Our Expert will stay in Bangladesh for approximate 90 (Ninety) days for supervision of
Drying & kiln part & need approximately 40 (forty ) days for installation, Commissioning
of our offered machinery items for the Plant. If our Engineers can not complete the jobs
for the fault of the buyer then an additional payment of US$ 150.00 (One hundred
fifty)per person per day will be paid after 90 (Ninety) days for Kiln & Drying Equipment &
after 40 ( fort ) days for machinery part until completion of the jobs. The cost of food,
lodging of our expert will be borne by the client at their proposed factory premises or at
any secured suitable place. The complete security for our experts must be taken in
good care by the customer.
The buyer must also arrange the following:
i) Ready site complete with all the civil works & electrical work as per our
drawings and electricity is to be supplied by buyer (as detailed in the clause
‘Power Supply’). While internal cabling in the machine is complete, the cabling
from the machine to the panel is to be provided by the buyer.
ii) Skilled and unskilled labors are to be provided by the buyer. The recommended
number of persons required will be informed to the buyer once the final scope of
supply is determined.
iii) All material handling equipment including suitable for lift truck are to be provided
by the buyer.
iv) Cleaning material such as solvents, gasoline/kerosene etc. are to be provided
by the buyer. The buyer as specified by us must provide all lubricants including
greases and consumables.
v) The buyer will assist us in obtaining Visa/Traveling papers for our supervisors.
vi) Transportation within the foreign country where the site is situated, from the time
our supplier’s supervisors lands at the port of entry till the time of his leaving for
home from the port of exit.
vii) The buyer must arrange for insurance of all the materials up to commissioning
and handing over .

viii) The customer must provide a first aid kit at the site and shall extend medical
facilities to our erection supervisors, should such a need arise during their stay in
the foreign country free of all charge.
ARTICLE 11. TRAINING
For a newcomer, the skill operation staff and skill maintenance staff are very important.
And the training at the site is very effective; if the buyer can organize qualify staff to
assist this training course. The training will be given at the time of Installation
commissioning and trial run of the plant free of cost.
Some training course is mixed into installation and commissioning, so relatively fixed
staff of buyer will learn more.
Our suppliers’ engineers will follow our training manual and complete all the course
when they stay in buyer’s factory.
ARTICLE 12. LONG TERM TECHNICAL SERVICE (OPTIONAL)
In order to guarantee the normal working of our machinery and meet the individual
technical service demand from clients. We are available to supply the skilled and
wellmanaged service team as request by clients.
The service team includes maintenance technician, skill operator and even the
production director. All the team members have employment contract with Seller. And
they will follow all the regulation of Seller’s.
The buyer will sign a separate contract with the Seller for this service team, and Seller
will take the responsibilities for the qualification of each staff, the buyer only need to pay
the service directly to Seller and seller will pay the salary in China.
Usually, the service period will be Six months to one year, if the buyer needs to extend
the period; the seller will change the persons.
The buyer will arrange to & fro air tickets for our supervisor (usually after 03 (three)
months time), the lodging and boarding expenses in a good house.
ARTICLE 13. SPARE PARTS SUPPLYING
All the machinery will have included standard 01 ( one year ) spare parts free of charge.

But we strongly suggest the buyer to buy atleast for 2 ( two) year parts along with
machine, for purchasing those will at least save the freight cost.
ARTICLE 14. ARBITRATION
That in the event of there being a dispute or difference between the buyer and the seller
respect of this order or about its meaning and/or interpretation, the same shall unless
amicably resolved be referred to arbitration in accordance with the rules of arbitration of
the China international Arbitration Center for settlement. The place of arbitration shall
be China. The arbitration shall be conducted in English Language. The applicable law
will be Chinese law.
ARTICLE 15. COUNTRY OF ORIGIN
The country of origin of our machinery & Equipment is of China.
ARTICLE 16. VALIDITY OF OFFER
This offer is not a binding document. We reserve the right to alter the
design/specifications of the equipment. This offer is valid for acceptance within 30 days
from the date of offer. Beyond this date, reconfirmation from us is required.
All orders are subject to our written acceptance.
ITEM : 5 : SPECIAL TERMS AND CONDITIONS AT A GLACE :
1. Payment: 100% by irrevocable & Ad. Confirmed Letter of Credit at sight

                      payment in favor of our Principal in China.
2. Delivery:  120 Days from the date of receipt of workable L/C.
3. Origin    :  China
4. Offer Validity : 30 days from this quotation.
5. Installation, commissioning:  will be done by our experts.
                                                     Food, & lodging of our supervisors will be
                                                     arranged by Buyer during the installation &
                                                     commissioning jobs. All  installation material &
                                                     consumables at buyer cost.
6. Civil Jobs : All the Civil jobs for Drying tunnel/chambers & Hoffman Kiln to
                         be made by buyer as per our design.
7. Utility Services : Electric Power, Generator, Water, Power Cables, Cable
                                  tray, Earthlink, Air compressors, etc. will be at buyer’s account.
8. Local labor  : All at buyer’s account.
9. If any raw material required for test run of the plant will be at buyers account.
10. Loading , Unloading , Import duty & taxes etc. of the machinery at buyers cost.
11. Any government order / approval at buyers cost & own arrangement of client..
12. Any thing not specified in this Quotation are on buyer’s Account.
